BUYER SELLER AGREEMENT
This Buyer-Seller Agreement (the “Agreement”), effective as of [Day, Month, Year], is entered into by and between the following parties:

1. TERMS AND CONDITIONS OF SALE
The selling party, herein referred to as the "Seller," hereby acknowledges and agrees to sell, and conversely, the purchasing party, or the "Buyer," acknowledges and agrees to purchase, a specified set of goods and services. These goods and services, which shall be referred to henceforth as the "Goods," are defined and described in accordance with the specifications that have been mutually agreed upon by both the Seller and Buyer, and these specifications shall be referred to as the "Specifications." Both the Seller and Buyer, collectively referred to as the "Parties," acknowledge and confirm that they are entering into this agreement with a comprehensive understanding and acceptance of all its presented terms and conditions.
The Parties also affirm that they are engaging in this agreement willingly, without any force, coercion, or misrepresentation, and they fully understand the consequences and implications of this agreement.
2. DELIVERY OF GOODS
The Seller shall deliver the Goods to the Buyer at a location agreed upon by both parties on or before the agreed delivery date.
The Buyer shall inspect the Goods promptly upon receipt but in any event within [number] days of delivery. Any issues or defects discovered during the inspection period must be reported to the Seller in writing within [number] days of delivery.
3. PAYMENT
The individual or entity acting as the Buyer is obliged to settle the required payment amounting to [amount] for the products or services, or collectively referred to as the Goods, as clearly outlined in the invoice that the Seller will issue. Fulfillment or settlement of the said payment should take place within the agreed duration of [number] days, counted from the day the invoice has been officially received by the Buyer. The Seller, on the other hand, reserves all rights, authorizing them to levy charges as interest on any payments that may be delayed or made later than the agreed timing, at a specific interest rate of [percentage] on an annual basis.
4. WARRANTY
The Seller represents and warrants that the Goods sold under this Agreement shall be free from defects and will conform to the agreed Specifications. If any of the Goods are found to be defective within [warranty period], the Seller shall promptly repair or replace them at its own expense.
5. TERMINATION
5.1 Termination by Notice: Either party may terminate this Agreement by giving the other party [number] days' written notice of termination. Upon termination, the Buyer shall be responsible for paying for any Goods delivered prior to the effective date of termination, as well as any outstanding payments or fees owed to the Seller.

6. GENERAL PROVISIONS
6.1 Entire Agreement: This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.
