Free Copyright License Agreement

This Copyright License Agreement ("Agreement") is entered into on May 14, 2050, by and between [Publisher's Name], an Acme Publishing organized and existing under the laws of [Jurisdiction], with its principal place of business located at [Address] ("Publisher"), and [Creator's Name], an individual/organization, residing/organized and existing under the laws of [Jurisdiction], with its principal place of business located at [Address] ("Creator").

1. Agreement

1.1 Grant of Rights: Creator hereby grants to Publisher the non-exclusive right to publish, reproduce, distribute, display, and perform the Work(s) in print, digital, and any other formats as determined by Publisher, solely to publish the Work(s) in Publisher's publications, including but not limited to books, magazines, newspapers, and online publications.

1.2 Modification and Adaptation Rights: The rights granted herein include the right to translate, adapt, and modify the Work(s) as necessary for publication purposes, provided that such modifications do not materially alter the original expression of the Work(s) without the prior written consent of Creator.

2. Term

2.1 Commencement and Duration of Agreement: The term of this Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated as provided herein.

2.2 Termination for Material Breach: Either party holds the right to terminate this Agreement by providing a written notice of at least 30 days if the other party significantly violates any clause within this Agreement and does not rectify the breach within the stipulated timeframe. This clause serves to maintain accountability and ensure timely resolution of any breaches, fostering a fair and transparent business relationship. By allowing termination upon failure to cure a material breach, both parties are allowed to address issues constructively before resorting to termination.

3. Compensation

In exchange for the rights outlined in this agreement, the Publisher agrees to compensate the Creator with an advance payment of $5,000. This payment will be made upon the execution of the agreement. Furthermore, the Creator is entitled to receive royalties amounting to 10% of the net revenue generated by the Publisher from the sale of each copy of the Work(s), as per the terms specified herein.

4. Representations and Warranties

Creator represents and warrants that:

a. Creator is the sole owner of all intellectual property rights in the Work(s) and has the full power and authority to grant the rights granted herein;

b. The Work(s) are original and do not infringe upon the intellectual property rights of any third party;

c. The Work(s) are not subject to any prior agreements, encumbrances, or restrictions that would interfere with the rights granted herein.

5. Indemnification

Creator agrees to indemnify, defend, and hold harmless Publisher from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the representations and warranties outlined in Section 4 above.

6. Governing Law

This Agreement shall be governed by the laws of [Jurisdiction], with no consideration given to conflicting legal principles. Any disputes arising from or related to this Agreement shall be exclusively resolved within the courts of [Jurisdiction]. The parties hereby submit to the jurisdiction of such courts to litigate any such dispute.

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
