1. Introduction

This Maintenance Agreement ("Agreement") is entered into as of [Date], by and between [Your Company Name], located at [Your Company Address] ("Travel Agency"), and [Second Party], located at [Second Party Address] ("Maintenance Service Provider").

2. Definitions

2.1. "Maintenance Services" shall refer to the services provided by the Maintenance Service Provider to maintain and support the equipment and/or software specified in this Agreement.

2.2. "Equipment" shall refer to the hardware and physical devices owned or leased by the Travel Agency and covered under this Agreement.

2.3. "Software" shall refer to the computer programs and applications owned or licensed by the Travel Agency and covered under this Agreement.

3. Scope of Maintenance Services

3.1. The Maintenance Service Provider agrees to provide maintenance and support services for the Equipment and Software listed in Exhibit A attached hereto.

3.2. Maintenance services may include routine inspections, preventive maintenance, repairs, software updates, and technical support as necessary to ensure the proper functioning of the Equipment and Software.

4. Maintenance Schedule

4.1. Maintenance visits shall be scheduled according to the Maintenance Schedule outlined in Exhibit B attached hereto.

4.2. The Maintenance Service Provider shall respond to maintenance requests from the Travel Agency within [00] hours/days of receiving such requests.

5. Responsibilities of the Maintenance Service Provider

5.1. The Maintenance Service Provider shall perform maintenance services with due diligence and in a professional manner, employing qualified personnel with suitable expertise.

5.2. The Maintenance Service Provider shall provide updates and reports on maintenance activities to the Travel Agency on a [Frequency] basis.

6. Responsibilities of the Travel Agency

6.1. The Travel Agency shall cooperate with the Maintenance Service Provider and provide access to Equipment and Software for maintenance purposes.

6.2. The Travel Agency shall promptly report any issues or malfunctions with the Equipment or Software to the Maintenance Service Provider.

7. Fees and Payment Terms

7.1. The Travel Agency agrees to pay the Maintenance Service Provider fees for the Maintenance Services rendered, as outlined in Exhibit C attached hereto.

8. Term and Termination
