AND WHEREAS, the Travel Agency wishes to accept such appointment subject to the terms and conditions set forth in this Agreement;

1. Appointment

The Service Provider hereby appoints the Travel Agency as its non-exclusive agent to market and sell air travel services provided by the Service Provider to consumers. The Travel Agency accepts this appointment and agrees to diligently perform the services prescribed in this Agreement.

2. Scope of Authorization

The authorization granted to the Travel Agency under this Agreement is specifically outlined to cover a comprehensive range of activities related to air travel services:

• Authorized Activities: The Travel Agency is permitted to promote, market, and sell air travel services, including the sale of airline tickets. 3. Obligations of the Travel Agency

The responsibilities and duties of the Travel Agency are critical to maintaining the integrity and quality of service expected under this Agreement:

• Feedback and Communication: The Travel Agency is required to regularly inform the Service Provider of any significant customer feedback or complaints, facilitating prompt responses and improvements.

4. Compensation

The framework for compensating the Travel Agency is designed to incentivize sales while ensuring fairness and transparency:

• Commission-Based Compensation: The Travel Agency will be compensated through commissions, which are determined based on the volume of sales generated. Specific details of the commission rates may be outlined in a separate addendum to this Agreement.

• Payment Terms: Compensation is payable within thirty (30) days following the end of each calendar month in which the sales occurred. This ensures a regular and predictable payment schedule.

• Reporting Requirements: The Travel Agency must provide comprehensive sales reports at the end of each month to support the calculation of commissions and verify the accuracy of the transactions.

5. Term and Termination
