Free Interior Design Agreement

I. Introduction

This Interior Design Agreement ("Agreement") is made effective as of August 21, 2050, by and between [Your Name], representing [Your Company Name] with its principal place of business located at [Your Company Address] ("Designer"), and Jane Doe, residing at 123 Maple Street, Springfield, IL 62704 ("Client").

II. Scope of Work

The Designer agrees to provide interior design services for the Client's private residence located at 123 Maple Street, Springfield, IL 62704. The services shall include, but are not limited to:

• Conceptual design and development

• Space planning and layout

• Selection of furnishings, fixtures, and materials

• Coordination with contractors and suppliers

• Oversight of installation and final setup

III. Design Fees

The total fee for the design services provided under this Agreement is $15,000 USD. This fee will cover all design services outlined in Section II. Any additional services beyond the agreed scope will be billed separately at the Designer's standard hourly rate of $150 USD.

IV. Payment Terms

Payments will be made according to the following schedule:

• A non-refundable deposit of 30% ($4,500 USD) is required upon signing.

• 40% of the total fee upon approval of design concepts ($6,000 USD).

• 30% of the total fee upon completion of the project ($4,500 USD).

All payments are due within ten (10) days of the invoice date. Late payments will incur a late fee of $100 USD per month.

V. Project Timeline

The Designer will commence work on September 1, 2050, and aims to complete the project by December 1, 2050. The timeline is subject to change based on the availability of materials, subcontractors, and other factors beyond the Designer’s control.

VI. Responsibilities

The Designer will be responsible for:

• Providing timely and professional design services

• Communicating design updates and progress

• Managing the design budget and ensuring costs are within the agreed limits

The Client will be responsible for:

• Providing timely feedback and approvals

• Making payments as outlined in Section IV

• Facilitating access to the project site as needed

VII. Termination Clause

Either party may terminate this Agreement with written notice of thirty (30) days. In the event of termination, the Client will pay for all services rendered up to the date of termination, and the Designer will provide a final invoice reflecting all outstanding fees.

VIII. Confidentiality

Both parties agree to keep confidential any proprietary information or trade secrets disclosed during the course of this Agreement. This obligation will survive the termination of the Agreement.

IX. Dispute Resolution

Any disputes arising under this Agreement shall be resolved through mediation. If mediation fails, disputes will be settled by arbitration in accordance with the laws of Illinois. The decision of the arbitrator shall be final and binding.

X. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Illinois.

XI. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements and understandings related to the subject matter. Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
