Free Design Service Agreement

1. Introduction

This Design Service Agreement ("Agreement") is entered into as of August 1, 2055 by and between Rocky Orn ("Client") and Jewell Ward ("Designer"). This Agreement outlines the terms and conditions under which the Designer will provide design services to the Client.

2. Scope of Services

2.1 Description of Services
The Designer agrees to perform the following services:

• Creation of branding assets, including logos, color palettes, and typography guidelines.

• Design and development of a responsive website, including up to five custom pages.

• Graphic design support for marketing materials, such as flyers, banners, and social media templates.

2.2 Deliverables
The Designer shall provide the Client with the following deliverables:

• Final logo files in .PNG, .JPEG, .SVG, and .EPS formats.

• Website design files, along with a fully functional website hosted on the Client's chosen platform.

• Editable graphic design files in .PSD format and print-ready PDFs for all marketing materials.

3. Term and Termination

3.1 Term

This Agreement shall commence on August 4, 2055 and shall remain in effect until October 5, 2055, unless terminated earlier in accordance with this Agreement.

3.2 Termination

Either party may terminate this Agreement with written notice of 10 days to the other party. Upon termination, the Client will pay for all work completed by the Designer up to the date of termination.

4. Compensation

4.1 Fees

The Client agrees to pay the Designer a total fee of $12,000.00 for the services provided under this Agreement. The payments shall be made as follows: upfront deposit.

4.2 Expenses

Any additional expenses incurred by the Designer in the performance of the services will be reimbursed by the Client, provided that such expenses have been approved by the Client in advance.

5. Intellectual Property

All intellectual property rights in the work product created by the Designer pursuant to this Agreement shall be owned by the Client. The Designer hereby assigns to the Client any and all rights, title, and interest in and to the work product.

6. Confidentiality

The Designer agrees to keep confidential all information obtained from the Client that is not publicly available and to use such information solely for the purpose of performing the services under this Agreement.

7. General Provisions

7.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [State/Country].

7.2 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.

7.3 Amendments

This Agreement may be amended only by a written document signed by both parties.

7.4 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
