Free Self Employed Agreement

This Self Employed Agreement ("Agreement") is made and entered into as of August 21, 2050, by and between [Your Company Name], with its principal place of business located at [Your Company Address] ("Company"), and Alex Johnson, an independent contractor ("Contractor").

I. SCOPE OF WORK

The Contractor agrees to perform the following services ("Services"):

• Develop and implement a custom software solution for the Company’s inventory management.

• Provide technical support and maintenance for the software for a period of six months after implementation.

The Services will be performed in accordance with the specifications and requirements set forth by the Company.

II. PAYMENT TERMS

III. DURATION

The Contractor agrees to maintain the confidentiality of all proprietary and confidential information disclosed by the Company during the term of this Agreement. This obligation shall survive the termination of this Agreement.

V. TERMINATION CONDITIONS

Either party may terminate this Agreement with 30 days written notice to the other party. Upon termination, the Contractor shall deliver all completed work and any materials related to the Services to the Company.

VI. INDEPENDENT CONTRACTOR STATUS

The Contractor is an independent contractor and not an employee of the Company. The Contractor shall be responsible for all taxes, insurance, and other obligations arising from their status as an independent contractor.

VII. INTELLECTUAL PROPERTY RIGHTS

Any intellectual property created by the Contractor in the course of performing the Services shall be the property of the Company. The Contractor agrees to assign all rights, titles, and interests in such intellectual property to the Company.

VIII. DISPUTE RESOLUTION

Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration, with the laws of the State of New York governing the resolution of such disputes.

IX. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to such subject matter.

X. AMENDMENTS

This Agreement may only be amended or modified by a written instrument signed by both parties.
