Free Professional Work-for-hire Agreement

This Professional Work-for-Hire Agreement (the "Agreement") is entered into on this 9th day of December 2050, by and between [Your Company Name], a company duly organized and existing under the laws of the State of Kansas, with its principal office located at [Your Company Address] (hereinafter referred to as the "Company"), and Harold Abern, residing at Overland Park, KS 66204 (hereinafter referred to as the "Contractor").

This Agreement establishes the terms and conditions under which the Contractor agrees to perform work-for-hire services for the Company.

I. Scope of Work

Description of Services

The Contractor agrees to provide the following services to the Company:

• Design and development of a new website interface tailored to meet the Company’s specific branding and functionality requirements.

• Creation of custom graphics and multimedia content for the website and marketing campaigns.

• Integration of third-party tools and plugins for enhanced functionality as specified by the Company.

Deliverables

The Contractor shall deliver:

1. A fully functional website with a responsive design compatible with both desktop and mobile platforms.

2. Three rounds of revisions to ensure the website meets the Company's expectations.

3. A user manual and training materials for website management.

II. Compensation and Payment Terms

Compensation

The Company agrees to pay the Contractor the total amount of $15,000 for the Services described in this Agreement. Payment shall be made as follows:

• Initial Payment: $5,000 upon execution of this Agreement.

• Midpoint Payment: $5,000 upon completion of the initial design and development phase.

• Final Payment: $5,000 upon delivery and acceptance of the final website and all associated materials.

Payment Method

Payments shall be made via:

• Direct bank transfer.

• Wire transfer to an account specified by the Contractor.

Late Payments

Payments not made within 10 days of the due date shall incur a late fee of 2% of the outstanding amount per month. If payments are delayed by more than 30 days, the Contractor may suspend all work until payments are brought current.

III. Ownership of Work

Work-for-Hire

The Contractor agrees that all work performed under this Agreement, including but not limited to all designs, graphics, text, software, and code, is a "work-for-hire" under U.S. copyright law. All rights, title, and interest in the work product created shall belong solely and exclusively to the Company.

Assignment of Rights

To the extent any rights to the work product do not automatically vest in the Company, the Contractor hereby assigns all such rights, including copyrights, to the Company.

Contractor’s Portfolio

The Contractor may retain copies of the work product for inclusion in their professional portfolio unless prohibited by the Company.

IV. Confidentiality

Confidential Information

The Contractor agrees to keep all confidential and proprietary information disclosed by the Company, including but not limited to business plans, technical information, and marketing strategies, in strict confidence.

Exceptions

The obligation of confidentiality does not apply to information that:

1. Was publicly available at the time of disclosure.

2. Becomes publicly available through no fault of the Contractor.

3. Is required to be disclosed by law or a court order.

V. Independent Contractor Status

The Contractor is an independent contractor and not an employee, agent, or representative of the Company. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship between the parties.

The Contractor is responsible for their own taxes, insurance, and other obligations.

VI. Term and Termination

Term

This Agreement shall commence on December 9, 2050, and shall continue until the Services are completed unless terminated earlier as provided herein.

Termination by the Company

The Company may terminate this Agreement at any time by providing 10 days' written notice to the Contractor.

Termination by the Contractor

The Contractor may terminate this Agreement upon 10 days' written notice if the Company fails to make payments or fulfill any obligations under this Agreement.

Compensation Upon Termination

If this Agreement is terminated, the Contractor shall be compensated for all work completed up to the date of termination.

VII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of laws principles.

VIII. Dispute Resolution

Negotiation and Mediation

In the event of a dispute arising under this Agreement, the parties agree to first attempt resolution through good-faith negotiations. If negotiations fail, the parties agree to submit the dispute to mediation in the State of Kansas.

Legal Action

If mediation fails, either party may pursue legal remedies in a court of competent jurisdiction in the State of Kansas.

IX. Miscellaneous

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.

Amendments

This Agreement may only be amended in writing, signed by both parties.

Severability

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
