Free Energy Trade Agreement

This Energy Trade Agreement ("Agreement") is entered into as of January 15, 2067, by and between [YOUR NAME] of [YOUR COMPANY NAME] ("Seller"), and Diversa of Boise, ID 83701 ("Buyer"). Each a "Party" and collectively referred to as the "Parties."

In consideration of the mutual covenants and promises set forth herein, the Parties agree as follows:

I. DEFINITIONS

1. Energy Products: Refers to solar energy credits equivalent to 1,000 megawatt-hours (MWh) per unit, as outlined in Schedule A.

2. Delivery Point: The physical location where the Energy Products will be delivered, specified as Pacific Regional Power Exchange Hub.

3. Contract Term: The duration of this Agreement, from January 15, 2067, to January 14, 2070.

4. Force Majeure: Events beyond the reasonable control of either Party that may prevent performance, including natural disasters, cyberattacks, and government-imposed restrictions.

II. OBJECTIVE

The purpose of this Agreement is to establish terms and conditions for the purchase and sale of solar energy credits between the Seller and the Buyer, ensuring clarity, compliance, and mutual benefit.

III. SCOPE OF AGREEMENT

1. Quantity: Seller agrees to sell and deliver, and Buyer agrees to purchase and receive, 5,000 solar energy credits annually as detailed in Schedule B.

2. Quality: All solar energy credits delivered under this Agreement shall conform to the specifications set forth in Schedule C, ensuring compliance with the International Renewable Energy Standards (IRES).

IV. TERM AND TERMINATION

1. Effective Date: This Agreement shall commence on January 15, 2067, and remain in effect until January 14, 2070, unless terminated earlier in accordance with this Section.

2. Termination: Either Party may terminate this Agreement upon providing 90 days' written notice or immediately in the event of a material breach by the other Party.

V. PRICING AND PAYMENT

1. Price: The price for the solar energy credits shall be $50.00 USD per credit, subject to adjustments as per Schedule D.

2. Payment Terms: Payments shall be made within 30 days of invoice receipt. Late payments will incur an interest charge of 1.5% per month.

3. Taxes and Duties: Buyer shall bear all applicable taxes, duties, and levies unless otherwise stated.

VI. DELIVERY AND RISK OF LOSS

1. Delivery Point: Seller shall deliver the solar energy credits to the Pacific Regional Power Exchange Hub via the certified Renewable Energy Blockchain System.

2. Risk of Loss: Title and risk of loss shall transfer to the Buyer upon completion of the blockchain verification process.

VII. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that:

1. It has full legal capacity and authority to enter into this Agreement.

2. The performance of its obligations will not violate any applicable laws or regulations.

VIII. INDEMNIFICATION

1. Seller's Indemnification: Seller agrees to indemnify and hold harmless Buyer against any claims, losses, or damages arising from Seller's breach of this Agreement.

2. Buyer's Indemnification: Buyer agrees to indemnify and hold harmless Seller against any claims, losses, or damages arising from Buyer’s breach of this Agreement.

IX. CONFIDENTIALITY

The Parties agree to maintain the confidentiality of all proprietary information disclosed under this Agreement and not to disclose such information to any third party without prior written consent, except as required by law.

X. GOVERNING LAW AND DISPUTE RESOLUTION

1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Boise, Idaho.

2. Dispute Resolution: Any dispute arising from this Agreement shall be resolved through binding arbitration under the rules of the American Arbitration Association in Boise, Idaho.

This Agreement may only be amended or modified through a written agreement signed by both Parties.

XIV. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements or understandings, whether written or oral, related to the subject matter herein.
