Simple Investment Contract
This Investment Contract (the "Contract") is made and entered into on January 15, 2058 by and between [YOUR COMPANY NAME], located at [YOUR COMPANY ADDRESS], hereinafter referred to as the "Investor," and JoliVent, located at Winston-Salem, NC 27101, hereinafter referred to as the "Investee."
Both parties agree to the terms and conditions outlined in this Contract as follows:
I. PURPOSE OF THE CONTRACT
The purpose of this Contract is to outline the terms under which the Investor will provide capital to the Investee for the development and expansion of JoliVent's AI Solutions, a project aimed at advancing artificial intelligence technology for autonomous systems.
II. INVESTMENT AMOUNT
The Investor agrees to invest a total of $500,000 (Five Hundred Thousand Dollars) into the Investee’s business.
III. RETURN ON INVESTMENT
The Investee agrees to provide the Investor with a return on investment (ROI) of 15% per annum, to be paid as follows:
Quarterly payments starting from July 15, 2058.
10% equity stake in JoliVent's AI Solutions as additional compensation.
IV. TERM OF AGREEMENT
This Contract shall remain in effect for a period of five (5) years, beginning on January 15, 2058, and ending on January 14, 2063, unless terminated earlier in accordance with the terms of this Contract.
V. RESPONSIBILITIES OF THE INVESTEE
The Investee agrees to:
Utilize the investment funds exclusively for the development and marketing of JoliVent's AI Solutions.
Provide the Investor with quarterly financial statements and progress reports starting April 15, 2058.
VI. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of all proprietary and sensitive information related to this Contract and the business operations of the Investee, except as required by law.
VII. TERMINATION
This Contract may be terminated by mutual agreement of both parties or by either party in the event of:
A material breach of this Contract.
The insolvency or bankruptcy of the Investee.
Any misuse of funds not aligned with the agreed purpose.
VIII. GOVERNING LAW
This Contract shall be governed by and construed in accordance with the laws of the State of North Carolina, United States.
IX. DISPUTE RESOLUTION
In the event of a dispute arising under this Contract, both parties agree to resolve the matter through:
Mediation conducted in Winston-Salem, North Carolina.
Litigation in the courts of North Carolina, if necessary.
X. ENTIRE AGREEMENT
This Contract constitutes the entire agreement between the parties and supersedes any prior understandings, agreements, or representations. Any amendments must be made in writing and signed by both parties.
