Silent Partner Investment Contract
This Silent Partner Investment Contract (the “Contract”) is entered into as of January 1, 2069 by and between [YOUR COMPANY NAME] (the "Active Partner") and Clint Renner (the "Silent Partner").
WHEREAS, the Active Partner and Silent Partner wish to establish a business relationship in accordance with the terms and conditions set forth in this Contract;
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
I. DEFINITIONS
Business: The business referred to in this Contract is a sustainable urban farming enterprise focused on vertical agriculture and hydroponic systems.
Capital Contribution: The initial monetary contribution made by the Silent Partner, as described in Section IV.
Net Profits: The remaining income after all business expenses, taxes, and other costs have been deducted.
II. TERM AND TERMINATION
This Contract shall commence on February 1, 2069 and shall remain in effect until terminated in accordance with Section II.2.
Either party may terminate this Contract by providing 90 days written notice to the other party.
III. SILENT PARTNER’S ROLE
The Silent Partner shall provide financial investment only and will not be involved in the day-to-day operations or decision-making of the Business.
The Silent Partner shall have no authority to bind the Business or make representations on behalf of the Active Partner.
IV. CAPITAL CONTRIBUTION
The Silent Partner agrees to contribute a total of $500,000 by February 15, 2069 to fund the Business.
The Active Partner agrees to use the funds exclusively for business-related purposes, including equipment procurement, facility development, and marketing.
V. PROFIT AND LOSS ALLOCATION
Net Profits shall be divided as follows:
Silent Partner: 30%
Active Partner: 70%
In the event of a loss, the Silent Partner's liability shall be limited to their initial capital contribution.
VI. CONFIDENTIALITY
Both parties agree to keep all business information, financials, and trade secrets confidential and shall not disclose such information to third parties without prior written consent.
VII. REPRESENTATIONS AND WARRANTIES
The Active Partner warrants that the Business will comply with all applicable laws and regulations.
The Silent Partner represents that their contribution is not derived from any unlawful activities.
VIII. INDEMNIFICATION
The Active Partner agrees to indemnify and hold harmless the Silent Partner from any liabilities, claims, or losses arising from the Business, except in cases of gross negligence or willful misconduct by the Silent Partner.
IX. DISPUTE RESOLUTION
Any disputes arising under this Contract shall be resolved through mediation. If mediation fails, the dispute shall be settled by arbitration in accordance with the rules of The Global Arbitration Forum.
The decision of the arbitrator shall be final and binding.
X. GENERAL PROVISIONS
Entire Agreement: This Contract constitutes the entire agreement between the parties and supersedes any prior agreements.
Amendments: Any amendments to this Contract must be made in writing and signed by both parties.
Governing Law: This Contract shall be governed by the laws of the State of Michigan.
Severability: If any provision of this Contract is found to be invalid, the remainder shall remain enforceable.
