Free Equity Transfer Agreement

This Equity Transfer Agreement ("Agreement") is made and entered into as of this 26th day of May, 2050, by and between:

1. [Your Name], an individual/corporate entity with a principal address at [Your Company Address], hereinafter referred to as the "Transferor";

2. Lyda Fadel, an individual/corporate entity with a principal address at Miami, FL 33103, hereinafter referred to as the "Transferee."

RECITALS

1. Transfer of Equity

1.1 The Transferor hereby sells, assigns, and transfers to the Transferee, and the Transferee hereby purchases and accepts, 5 shares of Equity in [Your Company Name] (the "Equity").
1.2 The transfer of the Equity is made free and clear of all liens, claims, encumbrances, and adverse interests of any kind.

2. Consideration

2.1 As consideration for the transfer of the Equity, the Transferee shall pay the Transferor the sum of 250,000 dollars, payable as follows: Lump Sum.
2.2 The Parties acknowledge and agree that the consideration is fair, reasonable, and reflective of the value of the Equity.

3. Representations and Warranties

3.1 Representations by Transferor:
(a) The Transferor is the legal and beneficial owner of the Equity and has full authority to transfer it.
(b) The Equity is not subject to any restrictions on transfer, except as disclosed and agreed upon in this Agreement.

3.2 Representations by Transferee:
(a) The Transferee has the authority to enter into and perform this Agreement.
(b) The Transferee understands and accepts all risks and obligations associated with the ownership of the Equity.

4. Closing

4.1 The closing of the transaction ("Closing") shall take place on June 30, 2050, at 10:00 am, or at such other time and place as mutually agreed upon by the Parties.
4.2 At the Closing:

• The Transferor shall deliver all certificates or documents evidencing the Equity, duly endorsed for transfer.

• The Transferee shall deliver the consideration in the agreed manner.

5. Governing Law and Dispute Resolution
