Freelance Service Agreement

This Freelance Service Agreement (“Agreement”) is entered into on December 7, 2050 by and between Jewell Ward (“Client”), with a principal place of business at Artesia, LA 90701, and Sigmund Corwin (“Freelancer”), with a principal place of business at Chico, CA 95973.

1. Purpose

The purpose of this Agreement is to outline the terms and conditions under which Freelancer will provide services to Client.

2. Services

2.1 Description of Services
Freelancer agrees to perform the following services:

• Writing, editing, and proofreading five articles (1,000–1,500 words each) on topics related to digital marketing trends.

• Conducting research and sourcing credible references to support the content.

• Formatting articles according to SEO best practices and including relevant keywords provided by the Client.

2.2 Deliverables
The specific deliverables and timelines are as follows:

• Deliverable 1: First draft of Article 1 delivered within 7 days of the project start date.

• Deliverable 2: First drafts of Articles 2 and 3 delivered within 14 days of the project start date.

• Deliverable 3: Final drafts of all five articles delivered within 30 days of the project start date, following Client feedback and revisions.

3. Compensation

3.1 Fee

Client agrees to pay Freelancer a fee of $12,000 for the services provided under this Agreement.

3.2 Payment Schedule

Payments will be made as follows: half upfront and half upon completion.

3.3 Method of Payment

All payments will be made via PayPal.

4. Term and Termination

4.1 Term

This Agreement shall commence on December 10, 2055 and continue until January 10, 2056 unless terminated earlier as provided herein.

4.2 Termination for Convenience

Either party may terminate this Agreement for any reason with 10 days written notice to the other party.

4.3 Termination for Cause

Either party may terminate this Agreement immediately upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 15 days after receipt of notice of such breach.

5. Confidentiality

Freelancer agrees to keep all confidential information provided by Client in strict confidence and not to disclose it to any third party without the prior written consent of Client.

6. Intellectual Property

All intellectual property rights in any work created by Freelancer under this Agreement shall be transferred to Client upon full payment for the services unless otherwise agreed in writing.

7. Indemnification

Freelancer agrees to indemnify and hold harmless Client from any claims, losses, and liabilities arising out of or related to the performance of services under this Agreement, except to the extent caused by Client's negligence or willful misconduct.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of laws principles.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, whether oral or written, with respect to the subject matter hereof. This Agreement may be amended only by a written document signed by both parties.
