CONSIGNMENT AGREEMENT

THIS AGREEMENT is made and entered into on this first of December, in the year 2050, by and between Xandra Artistry (hereinafter "Consignor"), having its primary place of business at 123 Main Street, Apt 4B, Springfield, IL 62701, and Boutique Bliss (hereinafter "Consignee") having its primary place of business at 505 Pine Street, #789, Willowdale, OH 43214.

1. PURPOSE

The consignor owns handmade jewelry and wishes to consign these items to the Consignee for sale to the public. This agreement is intended to set forth the terms and conditions under which these products will be consigned.

2. CONSIGNMENT

Consignor hereby consigns to Consignee, and Consignee accepts on consignment, those items listed in the Inventory List incorporated herein by this reference (the "Products").

3. PRICE

The Consignee will sell the Products at the retail prices specified by the Consignor on the Inventory List. Changes in the listed prices can be made only with the written approval of the Consignor.

4. PAYMENT AND CONSIGNMENT FEE

The payment due to the Consignor for each sold product is 20%, payable to the Consignor by the 1st of each month. In addition, a consignment fee shall be payable by the Consignor to the Consignee, the amount of which shall be determined as $250.

5. TITLE TO CONSIGNMENT

The Consignor will retain all rights and title to the products on consignment until they are fully sold. The Consignee shall not encumber or dispose of any products until sold, nor shall it remove any labels or marks.

6. LOSS OR DAMAGE

The Consignor shall bear the risk of loss or damage to the Product on consignment until the items are sold to the purchasing customer.

7. RETURNS

The consignee has the right to return to the Consignor any unsold items at any time. The cost of shipment of such returns, if any, shall be borne by the Consignor.

8. INDEMNIFICATION

Each party agrees to indemnify and hold the other harmless from any claims, damages, or expenses, including attorney fees, arising out of the breach of this Agreement.

9. GOVERNING LAW

This Agreement shall be governed by and construed under the laws of the jurisdiction of Illinois.

IN WITNESS WHEREOF, each of the Parties has executed this Consignment Agreement as of the day and year first above written.
