Agreement Overview

This Consignment Agreement ("Agreement") is made and entered into on January 1, 2050, by and between [Your Company Name], with its principal place of business at [Your Company Address] ("Consignor"), and [Your Partner Company Name], with its principal place of business at [Your Partner Company Address] ("Consignee").

I. Definitions

A. Consignment Goods

1. Goods delivered by the Consignor to the Consignee for sale.

2. Includes all grocery items specified in Appendix A attached to this Agreement.

B. Sales Price

1. The price at which the Consignee sells the Consignment Goods to the end customers.

2. The Sales Price is set by mutual agreement between the Consignor and the Consignee.

C. Consignment Period

1. The period during which the Consignee will offer the Consignment Goods for sale, starting from the date of delivery and ending on December 31, 2050, unless terminated earlier in accordance with this Agreement.

II. Delivery and Acceptance

A. Delivery of Goods

1. The Consignor will deliver the Consignment Goods to the Consignee's premises at [Your Partner Company Address].

2. Delivery shall be completed by February 1, 2050.

B. Acceptance of Goods

1. The Consignee will inspect the Consignment Goods upon delivery and notify the Consignor of any discrepancies or damages within 48 hours.

2. If no such notification is made within the specified time, the Consignment Goods shall be deemed accepted.

III. Ownership and Risk

A. Title to Goods

1. Title to the Consignment Goods remains with the Consignor until sold by the Consignee.

2. Upon sale, title to the Consignment Goods transfers to the end customer.

B. Risk of Loss

1. The Consignee assumes the risk of loss or damage to the Consignment Goods from the time of delivery until the goods are sold or returned to the Consignor.

2. The Consignee agrees to maintain adequate insurance coverage for the Consignment Goods while in its possession.

IV. Sales and Payment

A. Sales Reporting

1. The Consignee will provide a monthly sales report to the Consignor by the 5th day of the following month.

2. The report will include the quantity of Consignment Goods sold, the Sales Price, and any unsold inventory.

B. Payment Terms

1. The Consignee will remit payment to the Consignor for sold Consignment Goods within 30 days of the end of each month.

2. The payment amount will be the Sales Price minus the agreed-upon consignment fee of 20%.

V. Unsold Goods

A. Return of Unsold Goods

1. At the end of the Consignment Period or upon termination of this Agreement, the Consignee will return any unsold Consignment Goods to the Consignor.

2. The Consignee will bear the cost of returning unsold goods.

B. Disposition of Unsold Goods

1. If the Consignee fails to return unsold Consignment Goods within 15 days of the end of the Consignment Period or termination, the Consignor may dispose of the goods at its discretion.

2. The Consignee will be liable for any costs incurred by the Consignor in disposing of the unsold goods.

VI. Termination

A. Termination for Convenience

Either party may terminate this Agreement for any reason by providing 30 days written notice to the other party.

B. Termination for Cause

Either party may terminate this Agreement immediately upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 10 days of receipt of notice.

VII. Miscellaneous

A. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of [State].

B. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements.

C. Amendments
