INFLUENCER CONTRACT
This Influencer Contract (the "Contract") is made and effective on [Date] (the "Effective Date"), by and between [Influencer Name] (the "Influencer"), located at [Influencer Address], and [Your Company Name] (the "Brand"), a company established and located at [Your Company Address]. Both parties shall be referred to collectively as the "Parties" and individually as a "Party".
SCOPE OF WORK
The Influencer shall provide the services (the "Services") on behalf of the Brand, including the creation and sharing of promotional content featuring the Brand's products on Instagram, YouTube, and other platforms as mutually agreed between the Parties.
TERM AND TERMINATION
The term of this Contract shall commence on [Effectivity Date], and continue until [End Date], unless earlier terminated by this Section. Either Party may terminate this Contract with written notice if the other Party breaches any of its obligations.
COMPENSATION
The Influencer shall receive compensation as outlined in Exhibit A attached hereto. Payments will be made in full by the Brand no later than the 1st day of each month.
CONFIDENTIALITY
Both Parties agree to maintain in confidence and not disclose to any third party any proprietary or confidential information of the other Party acquired during the term of this Contract.
INTELLECTUAL PROPERTY
All intellectual property rights relating to the promotional content created and shared by the Influencer for the Brand under this Contract shall remain with the Brand.
INDEMNIFICATION
Each Party will indemnify, defend, and hold harmless the other Party from and against any claims, demands, actions, or proceedings arising out of the breach of this Contract by the indemnifying Party.
GOVERNING LAW AND JURISDICTION
This Contract shall be governed by and interpreted by the laws of the [State]. Any dispute arising out of this Contract shall be subjected to the exclusive jurisdiction of the courts of the [State].
This Contract constitutes the entire understanding between the Parties and supersedes all prior understandings and agreements relating to its subject matter.
