This Social Media Marketing Sponsorship Contract ("Contract") is entered into on this 15th day of June, 2055, by and between:

Background:

3.2.1. Party A shall provide regular reports and updates to Party B regarding the progress and impact of the sponsored campaign.
4. OBLIGATIONS OF PARTY B
4.1. Sponsorship Payment:
4.1.1. Party B shall provide the agreed-upon sponsorship benefits and payments as outlined in Exhibit B.
4.2. Promotion:
4.2.1. Party B agrees to promote the sponsored campaign through its official channels.
5. INTELLECTUAL PROPERTY
5.1. Ownership:
5.1.1. All intellectual property rights related to the sponsored campaign shall remain the property of Party A.
5.2. Usage Rights:
5.2.1. Party B is granted the rights to use content created during the sponsored campaign for promotional purposes, subject to Party A's approval.
6. TERMINATION
6.1. Termination for Cause:
6.1.1. Either Party may terminate this Contract in the event of a material breach by the other Party, subject to a 30-day written notice.
6.2. Termination without Cause:
6.2.1. Either Party may terminate this Contract without cause with a 30-day written notice.
7. GOVERNING LAW
This Contract shall be governed by and construed in accordance with the laws of California, and any disputes shall be subject to the exclusive jurisdiction of the courts in California.
8. ENTIRE AGREEMENT
This Contract constitutes the entire understanding between the Parties and supersedes all prior agreements and understandings, whether oral or written.
9. AMENDMENTS
Any amendments or modifications to this Contract shall be made in writing and signed by both Parties.
