Social Media Marketing AD Contract

This Social Media Marketing Ad Contract ("Contract") is entered into on October 2, 2053 (the "Effective Date") by and between [Your Company Name], a California corporation with its principal place of business at [Your Company Address], hereinafter referred to as the "Marketing Firm," and Abe Electronics Inc., a Delaware corporation with its principal place of business at 456 Tech Avenue, San Francisco, CA 94101, hereinafter referred to as the "Client."

1. Services

The Marketing Firm agrees to provide social media marketing services to the Client as outlined in the attached proposal (Appendix A). The scope of services includes creating and posting social media content, managing ad campaigns, monitoring engagement, and providing monthly reports on performance.

2. Payment

2.1 The Client agrees to pay the Marketing Firm a monthly fee of $5,000 for the services rendered.

2.2 Payment shall be made on a monthly basis via bank transfer. Invoices shall be submitted by the Marketing Firm to the Client, and payment is due within 15 days of receipt.

3. Term

The term of this Contract shall commence on the Effective Date and shall continue for a period of 6 months, expiring on April 2, 2054, unless terminated earlier in accordance with Section 5 (Termination).

4. Social Media Accounts

4.1 The Marketing Firm shall have access to and control of the following social media accounts owned by the Client:

Twitter: @AbeElectronics

Instagram: @abeelectronics_official

4.2 The Marketing Firm agrees to follow the terms of service and community guidelines of each social media platform and shall not engage in any activities that could result in the suspension or termination of the Client's social media accounts.

Termination

5.1 Either party may terminate this Contract with 30 days' written notice to the other party.

5.2 In the event of termination, the Client shall be responsible for payment for services rendered up to the date of termination.

6. Confidentiality

Both parties unequivocally commit to maintaining the utmost confidentiality with regard to all non-public information, encompassing, but not limited to, sensitive business strategies, proprietary marketing plans, and confidential financial data. 

7. Governing Law

Both parties concur that this Contract shall be subject to and interpreted in compliance with the governing laws of the state of California. This jurisdictional agreement solidifies the legal framework within which any disputes or legal matters arising from this Contract will be resolved, thus providing a clear and mutually accepted foundation for legal proceedings or dispute resolution should the need arise.

8. Entire Agreement

This Contract contains the entire agreement between the parties and supersedes all previous agreements and understandings between the parties.
