Media Contract
THIS CONTACT (Contract), effective as of [Effective Date], is made by and between [Your Name] Content Creator, having its primary place of business at [Your Company Address] (Creator), and [Client Name] Client, having its primary place of business at [Client Address] (Client).
1. SERVICES
The Creator agrees to provide content creation services as outlined in this Agreement. These services may include but not be limited to, photography, videography, writing, graphic design, and other related services (Services).
2. COMPENSATION
The Client agrees to compensate the Creator for the Services in the amount of [Amount] to be paid on [Payment Date]. Any additional costs, including travel expenses, materials, and third-party charges, will be billed separately.
3. ASSIGNMENT OF RIGHTS
Upon receipt of full payment, the Creator assigns to Client the rights to use, reproduce, distribute, public display and performance, and derivative adaptations of the content in all media now known or hereafter devised worldwide, excluding the Creator's Proprietary Rights.
4. CREATOR'S PROPRIETARY RIGHTS
The Creator shall retain the rights in respect of all artistic and intellectual property created by the Creator while providing the Services, including the styles, techniques, concepts, and methodologies used (Creator's Proprietary Rights).
5. CONFIDENTIALITY
Both parties agree to keep confidential any non-public information or materials provided by one party to the other and will use such information only to perform their obligations under this Agreement.
6. LIABILITY
The Creator's liability for any claims arising under this Agreement, including without limitation, claims for copyright infringement, shall be limited to the total amount paid by the Client under this Agreement.
7. TERMINATION
This Agreement may be terminated by either party upon written notice if the other party breaches any of its material obligations under this Agreement and fails to cure such breach within thirty (30) days of receipt of such notice.
8. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by the laws of the country/state of [Country/State]. Any disputes arising from this Agreement will be resolved in the respective jurisdiction's courts.
