Free Social Media Influencer Contract

1. Engagement

• The Company engages the Influencer to produce and distribute content across their social media platforms, governed by the terms delineated in this Contract.

• Both parties commit to the creation and dissemination of content under mutually agreed-upon terms, ensuring alignment with the Company's specifications.

1.2 Influencer Commitment:

• The Influencer undertakes to generate and share content as per the terms established in this Contract, fulfilling the Company's requirements.

• Content creation and publication by the Influencer are bound by the specifications outlined by the Company, reflecting a collaborative effort between both parties.

1.3 Collaborative Content Creation:

• This Contract outlines the engagement of the Influencer by the Company for content development and dissemination across social media channels.

• The Influencer's responsibility encompasses the creation and posting of content, conforming to the guidelines and expectations set forth by the Company for effective collaboration.

  2. Deliverables

• The Influencer shall produce content including but not limited to posts, stories, videos, and other promotional material as outlined in the attached schedule (Section 2: 2.1 Exhibit A).

• The Influencer shall ensure that all content produced complies with the guidelines and branding requirements provided by the Company.

2.1 Exhibit A: Deliverables Schedule

1. Instagram Posts:

   • Frequency: Three times per week

   • Content: High-quality images showcasing the Company's products/services.

   • Captions: Engaging and informative captions highlighting key features or benefits.

2. Instagram Stories:

   • Frequency: Daily

   • Content: Behind-the-scenes footage, product demonstrations, or interactive polls related to the Company's offerings.

   • Duration: Each story should be between 10 to 15 seconds.

3. YouTube Videos:

   • Frequency: Bi-weekly

   • Content: In-depth product reviews, tutorials, or vlogs featuring the Company's products/services.

   • Duration: Minimum of 5 minutes per video.

4. Promotional Material:

   • Format: Graphics, banners, or other visual assets.

   • Content: Promotional material designed to drive engagement and conversions for the Company.

   • Specifications: Must adhere to branding guidelines provided by the Company.

3. Compensation

• In consideration for the services provided by the Influencer, the Company shall pay the Influencer the agreed-upon compensation as outlined in Exhibit B.

• Payment terms shall be outlined in (Section 3: 3.3 Exhibit B), including the schedule and method of payment.

3.1 Compensation Contract: The Company acknowledges the services rendered by the Influencer and agrees to remunerate them accordingly.

3.2 Payment Conditions: All pertinent payment terms, encompassing the schedule and mode of disbursement, will be expressly outlined in Exhibit B for clarity and transparency.

3.3 Exhibit B: Payment Details:

• The compensation owed to the Influencer for their services shall be elaborated upon in Exhibit B of this Contract.

• Exhibit B will comprehensively outline the payment schedule and method, ensuring both parties are informed and in agreement regarding financial transactions.

Additional Terms:

• Currency: US Dollars.

• No additional fees will be incurred by the Influencer for receiving payments.

• The Influencer must submit invoices on the last day of each month for payment processing.

4. Rights and Ownership

• The Influencer acknowledges and agrees that all content created according to this Contract shall become the property of the Company.

• The Company shall have the exclusive right to use, reproduce, distribute, and modify the content for any purpose, including but not limited to advertising, marketing, and promotional activities.

5. Representations and Warranties

• The Influencer represents and warrants that they have the legal right to enter into this Contract and to grant the rights herein granted.

• The Influencer further represents and warrants that all content produced under this Contract shall not infringe upon the rights of any third party, including but not limited to copyright, trademark, privacy, or publicity rights.

6. Confidentiality

• Both parties agree to keep confidential any proprietary or sensitive information disclosed during the term of this Contract.

• This confidentiality obligation shall survive the termination of this Contract.

7. Termination

• Either party may terminate this Contract upon written notice to the other party in the event of a material breach of the terms herein.
