Agreement:
Scope of Partnership
1.1. The Parties agree to collaborate on marketing and promotional activities for the purpose of launching the "TechXpert" software product developed by the Partner and increasing brand visibility for the Company.
1.2. The Parties will define specific marketing initiatives and campaigns, including but not limited to co-branded content creation, social media promotion, email marketing, and joint webinars.
Term
This Partnership shall commence on the Effective Date and will remain in effect for 12 months unless terminated earlier in accordance with this Agreement.
Roles and Responsibilities
3.1. The Company's Responsibilities:
Create and publish blog posts and articles related to "TechXpert."
Promote "TechXpert" through its social media channels.
Include "TechXpert" in its email marketing campaigns.
3.2. The Partner's Responsibilities:
Provide Marketing Masters Inc. with promotional materials for "TechXpert."
Promote "TechXpert" on its website and social media platforms.
Collaborate on a monthly webinar series promoting "TechXpert."
Compensation
4.1. Compensation for this Partnership shall be a revenue-sharing arrangement, with Marketing Masters Inc. receiving a 20% share of the revenue generated from sales referred through its marketing efforts.
4.2. Any additional expenses incurred during the execution of this Partnership shall be discussed and agreed upon in writing by both Parties before they are incurred.
Confidentiality
5.1. Both Parties agree to maintain the strictest confidentiality regarding any proprietary or confidential information shared during the course of this Partnership. This commitment to confidentiality extends beyond the duration of this Agreement and remains in effect indefinitely.
5.2. Confidential information includes but is not limited to trade secrets, business strategies, customer data, and intellectual property.
5.3. Any breach of confidentiality by either Party may result in legal remedies, including injunctive relief and financial compensation.
5.4. Both Parties shall ensure that their employees, agents, and any third parties with access to confidential information are also bound by strict confidentiality obligations.
Termination
6.1. Either Party may terminate this Agreement with written notice if the other Party breaches any material term or condition of this Agreement.
6.2. Termination shall be effective upon the receipt of such written notice. In the event of termination, both Parties shall remain responsible for fulfilling any obligations accrued up to the termination date and promptly returning any shared materials or property.

Governing Law
