EQUITY CONTRACT
This Equity Contract ("Contract") is made and entered into this [Date], by and between [Your Company Name], a corporation organized and existing under the laws of the [State/Country], with its principal place of business located at [Your Company Address] (hereafter referred to as the "Company"), and [Name of Equity Holder], an individual with his main address located at [Address] (hereafter referred to as the "Equity Holder").
WITNESSETH:
WHEREAS the Company is engaged in the business of [Description of Business];
AND
WHEREAS the Equity Holder wishes to purchase equity in the Company, and the Company wishes to sell such equity to the Equity Holder, upon the terms and conditions set forth in this Agreement.
TERMS OF AGREEMENT:
1. Purchase of Shares:
The Equity Holder hereby agrees to purchase from the Company, and the Company agrees to sell and issue to the Equity Holder, [X number of] shares (the "Shares") of the Company’s [class of shares] for a purchase price of [insert price per share] per Share.
2. Payment:

3. Representations and Warranties:
The Company and the Equity Holder each represent and warrant to the other that they have the full right, power, legal capacity, and authority to enter into and perform their respective obligations under this Agreement.
4. Affirmative Covenants:
The Company and Equity Holder agree to perform any further acts and execute and deliver any additional documents that may be reasonably necessary to carry out the provisions of this Agreement.
5. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the [State/Country].
6. Entire Agreement:
This Agreement represents the entire understanding between the Company and the Equity Holder with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
