Free Hotel Business Agreement

This Hotel Business Agreement ("Agreement") is made and entered into on [Month Day, Year], by and between [Your Company Name], a company organized and existing under the laws of [State], having its principal place of business at [Your Company Address], and [Partner Company Name], a company organized and existing under the laws of [State], having its principal place of business at [Partner Company Address].

1. Purpose of Agreement

The purpose of this Agreement is to establish the terms and conditions under which the Hotel will provide accommodations and related services to the Partner and its clients.

2. Term

3. Services Provided

The Hotel agrees to provide the following services to the Partner:

4. Payment Terms

4.1 Rates: The Partner agrees to pay the Hotel the rates set forth in Exhibit B attached hereto. Rates are subject to applicable taxes and fees.

4.2 Billing: The Hotel will invoice the Partner on a monthly basis. Invoices are payable within 30 days of receipt.

4.3 Late Payments: Any payments not made within the specified time frame will be subject to a late fee of [Percentage]% per month.

5. Reservations and Cancellations

5.1 Reservations: The Partner will provide a list of guests and their respective reservation details at least [0] days in advance.

5.2 Cancellations: Cancellations must be made at least [0] days prior to the scheduled arrival date. Late cancellations will be subject to a fee of [0]% of the total booking cost.

6. Termination

7. Indemnification

The Partner agrees to indemnify, defend, and hold harmless the Hotel, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to the Partner's use of the Hotel's services and facilities.

8. Confidentiality

Both parties agree to keep confidential any and all information that is designated as confidential or that should reasonably be understood to be confidential, disclosed by either party in connection with this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of laws principles.

10. Dispute Resolution

Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the parties.
