Free Land Agreement

This Land Agreement ("Agreement") is made and entered into as of the 1st day of January 2050, by and between: Dayton Rohan ("Client"), acting on behalf of MisfitCo, a company organized and existing under the laws of New Jersey, with its principal office located at Jersey City, NJ 07302 ("Client Address"), and [Your Company Name], a company organized and existing under the laws of New Jersey, with its principal office located at [Your Company Address] ("Company Address").
WHEREAS, the Client and Company agree to the following terms and conditions with respect to the leasing, selling, or transfer of land as stipulated herein.
I. Definitions
Land refers to the parcel of real property identified in Exhibit A attached to this Agreement.
Lease Term refers to the duration of the lease as specified in Section IV below.
Rental Fee refers to the agreed amount to be paid by the Client in exchange for leasing the Land.
Parties refers to the Client and Company collectively.
II. Agreement Purpose and Scope
Purpose of Agreement
This Agreement outlines the terms under which the Company agrees to lease the Land to the Client for the purpose of commercial development.Land Location
The Land subject to this Agreement is located at 1234 Development Rd, Trenton, NJ 08618, as further described in Exhibit A attached hereto. The Land is legally described in the local land records of Mercer County, New Jersey.Agreement Duration
This Agreement shall commence on the effective date as stipulated above and shall continue for a period of 10 years, ending on December 31, 2060, unless terminated earlier in accordance with the terms set forth herein.
III. Terms and Conditions
Payment Obligations
The Client agrees to pay a Rental Fee of $50,000 per year to the Company, due on the 1st of each month during the Lease Term.Utilities and Maintenance
The Client shall be responsible for all utilities and maintenance services related to the Land, including but not limited to water, electricity, and property upkeep.Use of Land
The Client agrees to use the Land solely for the purposes specified in this Agreement and will not permit any unlawful activities or structures on the Land without prior written consent from the Company.Inspection and Access
The Company retains the right to inspect the Land at reasonable intervals during the Lease Term, with prior notice to the Client. The Client shall provide the Company with reasonable access to the Land.
IV. Lease Term and Renewal
Initial Lease Term
The initial term of the lease will commence on January 1, 2050 and continue for a period of 10 years, unless terminated earlier in accordance with the provisions of this Agreement.Lease Renewal
Upon the expiration of the initial Lease Term, the Client has the option to renew the lease for an additional 5 years, provided that both Parties mutually agree in writing prior to the expiration of the initial term.Termination
Either Party may terminate this Agreement upon providing written notice to the other Party at least 60 days prior to the desired termination date, subject to the terms and conditions of this Agreement.
V. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey. Any disputes arising out of or in connection with this Agreement shall be resolved in accordance with the laws of New Jersey.
VI. Indemnity and Liability
Indemnification by the Client
The Client agrees to indemnify, defend, and hold harmless the Company, its agents, employees, officers, and directors from any and all claims, losses, damages, liabilities, costs, and expenses arising out of the Client’s use of the Land.Indemnification by the Company
The Company agrees to indemnify, defend, and hold harmless the Client, its agents, employees, officers, and directors from any and all claims, losses, damages, liabilities, costs, and expenses arising out of the Company’s actions or omissions under this Agreement.
VII. Miscellaneous
Entire Agreement
This Agreement, including all exhibits and attachments, constitutes the entire understanding between the Parties and supersedes all prior or contemporaneous agreements, understandings, representations, or warranties.Amendments
This Agreement may be amended or modified only in writing and signed by both Parties.Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect.Notices
Any notices required under this Agreement shall be delivered to the addresses specified in the preamble of this Agreement, or to such other address as either Party may designate by written notice.Assignment
Neither Party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other Party.
