Free Lease Termination Agreement

This Agreement is made in accordance with the terms set forth herein, with the mutual understanding that both parties have agreed to terminate the lease agreement dated March 15, 2063 (the "Original Lease") concerning the leased premises located at Minneapolis, MN 55401 (the "Premises").

I. TERMINATION OF LEASE

1.1. The parties mutually agree to terminate the Original Lease as of January 15, 2065 (the "Termination Date").

1.2. All rights and obligations under the Original Lease shall cease on the Termination Date, except for those provisions that survive termination as specified in the Original Lease or this Agreement.

II. PAYMENT OF OUTSTANDING AMOUNTS

2.1. Tenant agrees to pay any outstanding rent, fees, or charges that are due up to and including the Termination Date.

2.2. The Tenant acknowledges that any unpaid balance must be settled by January 10, 2065.

III. CONDITION OF THE PREMISES

3.1. Tenant shall return the Premises in the same condition as when they were first occupied, reasonable wear and tear excepted.

3.2. Any necessary repairs or cleaning required to restore the Premises to its original condition shall be the responsibility of the Tenant.

IV. RETURN OF KEYS AND ACCESS

4.1. Tenant shall return all keys, access cards, and other property belonging to the Lessor by the Termination Date.

4.2. Failure to return keys or other property may result in additional charges to the Tenant.

V. SECURITY DEPOSIT

5.1. The Lessor agrees to return the security deposit, minus any deductions for unpaid rent or damage to the Premises, within 30 days after the Termination Date, in accordance with applicable laws.

5.2. An itemized list of any deductions from the security deposit will be provided to the Tenant.

VI. RELEASE OF LIABILITY

6.1. Upon execution of this Agreement and completion of all obligations under this Agreement, both parties release each other from any further obligations or liabilities under the Original Lease.

VII. MISCELLANEOUS

7.1. This Agreement constitutes the entire understanding between the parties with respect to the termination of the Original Lease.

7.2. Any amendments or modifications to this Agreement must be in writing and signed by both parties.

7.3. If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
