Supply Agreement between Manufacturer and Buyer
This Supply Agreement (the "Agreement") is entered into on this [Date] by and between [Your Company Name], a company organized and existing under the laws of [State/Country], with its principal place of business at [Your Company Address] (hereinafter referred to as the "Manufacturer"), and LunaPak, a company organized and existing under the laws of [State/Country], with its principal place of business at Salem, OR 97301 (hereinafter referred to as the "Buyer").
Preamble
WHEREAS, the Manufacturer is engaged in the business of manufacturing and supplying [Product Description];
WHEREAS, the Buyer desires to purchase from the Manufacturer, and the Manufacturer desires to sell to the Buyer, certain quantities of [Product Description] (hereinafter referred to as the "Products") under the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants and promises hereinafter contained, the parties hereby agree as follows:
1. Definitions
1.1 "Products" shall mean the goods manufactured by Manufacturer as specified in Exhibit A attached hereto and made a part hereof.
2. Scope of Agreement
2.1 The Manufacturer agrees to supply, and the Buyer agrees to purchase, the Products in the quantities and at the prices specified in Exhibit B.
2.2 The terms and conditions contained in this Agreement shall apply to all purchases and sales of the Products between the Manufacturer and the Buyer.
3. Term
3.1 This Agreement shall commence on [Start Date] and shall continue in effect until [End Date], unless terminated earlier in accordance with the provisions of this Agreement.
4. Purchase Orders
4.1 The Buyer shall issue purchase orders to the Manufacturer specifying the quantities and delivery dates of the Products. All purchase orders shall be subject to acceptance by the Manufacturer.
5. Delivery and Shipment
5.1 The Manufacturer shall deliver the Products to the Buyer at the location specified in the purchase order. Delivery shall be made according to the schedule set forth in Exhibit C, unless otherwise mutually agreed upon in writing by the parties.
6. Price and Payment
6.1 The Buyer agrees to pay the Manufacturer the prices for the Products as set forth in Exhibit B. Payment terms shall be net thirty (30) days from the date of invoice, unless otherwise specified in writing.
7. Warranties
7.1 The Manufacturer warrants that the Products shall be free from defects in material and workmanship and shall conform to the specifications set forth in Exhibit A.
8. Limitation of Liability
8.1 In no event shall either party be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with this Agreement.
9. Termination
9.1 This Agreement may be terminated by either party with sixty (60) days prior written notice in the event of the other party's material breach of any of its obligations under this Agreement, provided that the breach is not cured within such notice period.
10. Governing Law
10.1 This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of laws principles.
11. Entire Agreement
11.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
