Maintenance Contract

MAINTENANCE CONTRACT

This Maintenance Contract "Contract" is entered into on April 1, 2050, by and between [Your Name], with its principal place of business located at [Your Company Address] "Service Provider", and [Client's Name], with its principal place of business located at [Client's Address] "Client".

WHEREAS, the Service Provider is engaged in the business of providing landscaping maintenance services; and

WHEREAS, the Client desires to engage the Service Provider to perform landscaping maintenance services for the Client's properties as described herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Scope of Services

The Service Provider agrees to perform landscaping maintenance services, which include, but are not limited to, lawn care, garden maintenance, tree and shrub pruning, irrigation system maintenance, and seasonal planting services for the Client's properties located at [Properties Address].

2. Maintenance Schedule

The Service Provider shall perform the landscaping maintenance services monthly beginning on April 1, 2050, and ending on March 31, 2051, unless earlier terminated under this Contract.

3. Payment

  • Fee Structure: The Client agrees to pay the Service Provider a total fee of $[2,500] per month for the provision of the landscaping maintenance services outlined in this Contract. This fee encompasses all routine maintenance tasks as detailed in the Scope of Services section.

  • Invoice and Payment Schedule: The Service Provider will issue an invoice to the Client on the first business day of each month. Payment shall be due within [30] days of receipt of the invoice. This payment period is designed to provide ample time for the Client to process the invoice through their accounts payable department.

  • Late Payment: If any payment due under this Contract is not made by the due date, a late fee of [5%] of the overdue amount will be added to the outstanding balance owed by the Client.   • Additional Services and Costs: Should the Client request additional services beyond those specified in the Scope of Services, such requests will be billed on a separate invoice at a rate agreed upon by both parties before the commencement of the additional services. This may include but is not limited to, special landscaping projects, extensive tree removal, or emergency storm clean-up.

4. Obligations of the Service Provider

The Service Provider agrees to:

  • Qualified Personnel: Only trained and qualified staff will be deployed for all landscaping services, ensuring professionalism and expertise.

  • Equipment and Supplies: The Service Provider will supply all necessary equipment and materials, with any special requirements to be mutually agreed upon.

  • Industry Standards: All services will be executed in line with the highest industry standards, focusing on quality and efficiency.

  • Safety and Environment: Adherence to safety regulations and environmental responsibility will be prioritized in all maintenance activities.

  • Communication: The Service Provider guarantees transparent and prompt communication, addressing any Client queries or concerns swiftly.

5. Client Responsibilities

The Client agrees to:

  • Access: The Client shall ensure the Service Provider has access to the properties during agreed-upon hours for the execution of landscaping services.

  • Requirements and Restrictions: The Client is responsible for informing the Service Provider of any specific needs or constraints associated with the properties, including but not limited to, water usage restrictions, preferred materials, or areas requiring special attention.

  • Payment: Timely payment for services rendered as per the agreed schedule is essential to maintain uninterrupted service.

  • Feedback: The Client is encouraged to provide feedback or concerns regarding the landscaping services promptly to allow for adjustments and improvements.

6. Term and Termination

This Contract shall commence on [Start Date] and shall continue in effect until [End Date] unless terminated earlier by either party giving [number] days written notice.

7. Indemnification
