JANITORIAL CONTRACT

This Janitorial Services Agreement (“Agreement”), is made and entered into as of the [Insert Day] day of [Month], 2050, (“Effective Date”), by and between [Your Company Name] (hereby referred to as the “Service Provider”), and [Client's Name] (hereby referred to as the “Client”).


SECTION 1: SERVICES

The Service Provider agrees to provide janitorial services to the Client as per the terms and conditions mentioned in this Agreement, including but not limited to daily office cleaning, restroom maintenance, waste disposal, and occasional deep cleaning tasks.

1.1 Regular Cleaning Services

The Service Provider shall perform regular janitorial services on a scheduled basis, including but not limited to daily office cleaning tasks such as vacuuming, dusting, and surface wiping. Additionally, restroom maintenance shall be conducted to ensure cleanliness and sanitation standards are met, including restocking of supplies and disinfection of surfaces.

1.2 Occasional Deep Cleaning Tasks

In addition to regular cleaning services, the Service Provider shall perform occasional deep cleaning tasks as needed or upon request by the Client. These tasks may include carpet shampooing, floor stripping and waxing, window cleaning, and other specialized cleaning services to maintain the overall cleanliness and appearance of the premises.

SECTION 2: CONTRACT TERM

This Agreement is set to begin on the effective date stipulated and is designed to persist until the [End Date]. Nevertheless, this continuation could be cut short if termination happens sooner than expected and this would agree with the termination clause that has been specified below.

2.1 Effective Date:

The Agreement shall commence on the effective date specified herein, which is [Effective Date]. Both parties acknowledge and agree that the provision of janitorial services shall commence promptly upon the effective date unless otherwise agreed upon in writing.

2.2 Duration and Termination:

The duration of this Agreement shall extend until the [End Date] unless terminated earlier under the provisions outlined in Section [Termination Section Number]. Either party may terminate this Agreement prior to the specified end date under the terms outlined in the Termination Clause below.

SECTION 3: PAYMENT TERMS

Under the terms stipulated in this Agreement, the Client is expected to provide remuneration to the Service Provider for all services that are delivered. The payment structure directing these transactions is documented in the payment schedule, which can be found in Appendix A. This appendix is part of the aforementioned Agreement and is attached for ease of reference.

SECTION 4: RESPONSIBILITIES

The Service Provider shall perform janitorial services and related activities as mentioned in Appendix B. The Service Provider shall comply with all regulations, rules, and laws, and maintain a high standard of excellence in its duties consistent with the professional and ethical rules governing janitorial service providers.

SECTION 5: INDEPENDENT CONTRACTOR RELATIONSHIP

The Agreement defines the Service Provider as an independent contractor for the Client, not an employee, and shouldn't be misconstrued. It doesn't establish any other type of relationship, such as a partnership, representative agency, joint venture, or employment. Any other interpretations contradict this Agreement.

  1. Definition of Independent Contractor:

    The Agreement unequivocally establishes the Service Provider as an independent contractor and not as an employee of the Client. This delineation is crucial to clarify the respective rights, responsibilities, and obligations of both parties. The Service Provider retains full control over the manner and method of performing the janitorial services, and the Client does not exert direct control over the Service Provider's activities beyond the scope defined herein.

  2. Exclusion of Other Relationships:

    This section explicitly states that the Agreement does not create any other form of legal relationship between the parties, including but not limited to partnerships, representative agencies, joint ventures, or employment agreements. Any attempt to interpret or construe the Agreement as establishing such relationships contradicts the express intent and terms of this Agreement. Both parties acknowledge and agree to abide by the independent contractor relationship delineated herein.

SECTION 6: TERMINATION

This Agreement can be terminated by either Party, provided they supply a written notice 30 days in advance. Upon termination, neither Party will be held liable for any aspects related to the Agreement, apart from the obligation to pay for the services that have been rendered up to the point of termination.

SECTION 7: CONFIDENTIALITY

The Service Provider agrees that during the term of this Agreement and afterward, crucial business information, including but not limited to the Client’s business operations, customers, strategies, and tenants, shall not be disclosed to any third party unless mandated by a court order or law.

SECTION 8: FORCE MAJEURE

In the circumstance of any delay or inability to perform according to the stipulation in the Agreement, neither of the Parties involved shall be held liable if such failure or delay is a direct or indirect result of natural occurrences or any causes that extend beyond its reasonable control.

The aforementioned agreement has been executed and delivered in witness of those present and its execution and delivery has been marked from the day and year that was first written above.
