Hereinafter referred to as the "Contractor".

1. Engagement

The Company hereby engages the Contractor to provide cleaning services to the Company’s clients on an independent contractor basis. The Contractor agrees to perform the cleaning services diligently and in accordance with the standards and specifications set forth by the Company. The scope of services to be provided shall be outlined in Exhibit A attached hereto.

2. Term

This Agreement shall commence on [Start Date] and shall continue until terminated by either party upon [30 days] written notice to the other party. The parties may mutually agree to extend the term of this Agreement in writing.

3. Compensation

In consideration for the services provided by the Contractor, the Company shall pay the Contractor [monthly] for completed services. Payment shall be made through Bank Transfer within [5 days] of receipt of an invoice. The Contractor shall submit invoices to the Company detailing the services provided and any expenses incurred.

4. Independent Contractor Status

The Contractor acknowledges and agrees that they are an independent contractor and not an employee of the Company. The Contractor shall have sole control over the manner and means of performing the services, and shall be responsible for all taxes, insurance, and other expenses related to their business. The Contractor shall not be entitled to any employee benefits provided by the Company.

5. Confidentiality

The Contractor agrees to keep all information obtained during the course of providing services confidential and shall not disclose such information to any third party without the Company’s prior written consent. This includes but is not limited to client lists, pricing information, and proprietary cleaning methods. The confidentiality obligations under this Agreement shall survive the termination of the Agreement.

6. Termination

Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any provision of this Agreement and fails to cure such breach within [30] days of receiving written notice thereof. In the event of termination, the Contractor shall be entitled to payment for any services rendered prior to the effective date of termination. Upon termination, the Contractor shall promptly return any company property or materials in their possession.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of [State], without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be resolved exclusively through arbitration conducted in [City, State] in accordance with the rules of the American Arbitration Association.
