BONUS STRUCTURE AGREEMENT

This Bonus Structure Agreement ("Agreement") is entered into between [Your Company Name] ("Company") and Peter Beneson ("Employee") in consideration of the terms and conditions set forth below.

4. Discretionary Bonuses
The Company reserves the right to determine the amount of the bonus in its sole discretion. The bonus calculation formula provided above is a guideline and does not guarantee a specific bonus amount.
5. Prorated Bonuses
If an employee joins or leaves the Company during the bonus period, the bonus will be prorated based on the employee's time of service during that period. The proration will be calculated on a monthly basis, with each full month of service counting toward the bonus calculation.
6. Taxation and Deductions
The Company will withhold applicable taxes and deductions from bonus payments in accordance with federal and state laws. Taxes and deductions will be calculated and withheld in accordance with federal and state tax laws and regulations. The Company will work diligently to ensure that all legal obligations are met while striving to minimize the impact on your bonus.
7. Termination or Resignation
In the event of termination or resignation of employment before the bonus payment date, the employee will only be eligible for a bonus payment if they are actively employed on the bonus payment date. No bonus will be paid if the employee is not employed on that date.
8. Confidentiality and Non-Compete
The Employee acknowledges that, during the course of employment with the Company, they may have access to sensitive and confidential information, including but not limited to trade secrets, customer lists, business plans, and financial information. The Employee agrees to maintain the strictest confidentiality with respect to all such information and not to disclose or use such information for any purpose, other than as required in the course of their employment with the Company.
9. Amendment Clause
This Agreement may only be modified in writing and signed by both parties.
By signing below, the Company and the Employee acknowledge and accept the terms and conditions of this Bonus Structure Agreement.
