Free Sales Client Referral Agreement

This Sales Client Referral Agreement ("Agreement") is entered into on this [5th] day of [May], [2050], ("Effective Date") by and between:

[Your Company Name], a company registered under the laws of [New Jersey], with its principal place of business at [Your Company Address] ("Company"), 

and 

[Second Party], an individual or entity, with its principal place of business at [Second Party Address] ("Referring Party").

Collectively, the Company and the Referring Party shall be referred to as the "Parties."

WHEREAS, the Referring Party has identified potential clients interested in the products and services offered by the Company; and

WHEREAS, the Company desires to compensate the Referring Party for successful client referrals;

NOW, THEREFORE, in consideration of the promises and covenants contained herein, the Parties agree as follows:

Referral Obligations

1. The Referring Party shall identify and refer potential clients (hereinafter referred to as "Referrals") to the Company who may be interested in purchasing the Company's food products and services.

2. The Referring Party shall provide the Company with accurate and complete information about each Referral, including their name, contact information, and any other relevant details that may assist in the sales process.

3. The Referring Party shall use its best efforts to promote the Company's products and services to the Referrals and facilitate the sales process.

Compensation

1. In consideration for successful Referrals, the Company agrees to compensate the Referring Party as follows:

For each Referral that results in a successful sale and the Referral becomes a paying client of the Company, the Company shall pay the Referring Party a referral fee equal to 10% of the total sale amount, excluding taxes and shipping costs.

2. The Company shall make all referral fee payments within [number] days of receiving payment from the referred client.

3. Referral fees shall be paid to the Referring Party through a method agreed upon by both Parties, which may include bank transfer, check, or other mutually acceptable means.

Term and Termination

1. This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either Party with written notice to the other Party.

2. Either Party may terminate this Agreement with or without cause by providing [number] days' written notice to the other Party.

3. Upon termination of this Agreement, any outstanding referral fees earned but not yet paid to the Referring Party shall be paid within [number] days of termination.

Confidentiality

The Parties agree to keep all information received from the other Party confidential and shall not disclose it to any third party without the express written consent of the disclosing Party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New Jersey.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements and understandings, whether oral or written.
