Free Broker Referral Agreement

This Broker Referral Agreement (the "Agreement") is entered into as of December 1, 2066 by and between [YOUR COMPANY NAME], with its principal place of business at [YOUR COMPANY ADDRESS] (hereinafter referred to as the "Company"), and Golda Larson, with its principal place of business at Modesto, CA 95350 (hereinafter referred to as the "Broker").

The parties agree as follows:

I. RECITALS

WHEREAS, the Company is engaged in the business of consulting and advisory services and seeks to expand its client base;

WHEREAS, the Broker has expertise and resources to assist in referring qualified clients to the Company;

WHEREAS, the parties wish to establish a mutually beneficial arrangement for such referrals under the terms and conditions outlined herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

II. DEFINITIONS

1. "Referral": A potential client introduced to the Company by the Broker, meeting the Company's qualification criteria.

2. "Qualified Referral": A referral that results in a signed agreement or successful transaction between the Company and the referred client.

3. "Referral Fee": The agreed-upon compensation paid to the Broker for each Qualified Referral.

III. SCOPE OF SERVICES

The Broker agrees to:

1. Identify and introduce potential clients to the Company who may benefit from its services or products.

2. Use best efforts to ensure referrals meet the Company’s qualification criteria.

3. Refrain from making commitments or representations on behalf of the Company without prior written approval.

IV. OBLIGATIONS OF THE COMPANY

The Company agrees to:

1. Evaluate all referrals promptly and in good faith.

2. Notify the Broker of the status of each referral within 7 days.

3. Pay the Referral Fee for each Qualified Referral in accordance with this Agreement.

V. REFERRAL FEE

1. The Company agrees to pay the Broker a Referral Fee of 10% of the gross revenue received from each Qualified Referral.

2. Referral Fees shall be paid within 30 days of receiving payment from the referred client.

3. The Referral Fee payment shall be accompanied by a detailed statement outlining the calculation of the fee.

VI. TERM AND TERMINATION

1. This Agreement shall commence on the Effective Date and continue until terminated by either party upon 30 days’ written notice.

2. Termination of this Agreement shall not affect the rights of the Broker to receive Referral Fees for Qualified Referrals made prior to termination.

VII. CONFIDENTIALITY

1. The Broker agrees to maintain the confidentiality of all non-public information provided by the Company, including but not limited to client details, pricing, and business strategies.

2. This confidentiality obligation shall survive the termination of this Agreement.

VIII. INDEPENDENT CONTRACTOR

The parties agree that the Broker is an independent contractor and not an employee, agent, or partner of the Company. Nothing in this Agreement shall create a joint venture, partnership, or similar relationship.

IX. INDEMNIFICATION

Each party agrees to indemnify, defend, and hold harmless the other party from and against any claims, damages, or liabilities arising out of the indemnifying party’s breach of this Agreement or its gross negligence or willful misconduct.

X. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of California without regard to its conflict of laws principles.

XI. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, and understandings, whether written or oral, relating to its subject matter.

XII. AMENDMENTS

This Agreement may only be amended or modified by a written agreement signed by both parties.

XIII. NOTICES

All notices under this Agreement shall be in writing and delivered to the respective addresses of the parties as set forth above, or to such other address as a party may designate by written notice. For the Company, notices can be sent to golda@you.mail.
