Free Art Gallery Lease Agreement

This Art Gallery Lease Agreement ("Agreement") is made and entered into as of [Month Day, Year], by and between:

Recitals
WHEREAS, Lessor is the owner of the property located at [Property Address] (the “Premises”);
WHEREAS, Lessee desires to lease the Premises for the purpose of operating an art gallery and to exhibit and sell art;
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties agree as follows:
1. Lease Term
The term of this Lease shall commence on [Month Day, Year] and shall continue until [Month Day, Year] unless earlier terminated in accordance with the provisions herein (the "Lease Term").
2. Rent
Lessee agrees to pay Lessor a monthly rent of $[0] (the “Rent”), payable on the [5th] of each month. The Rent shall be payable without notice, demand, or set-off, and shall be sent to Lessor at the address specified above or at such other address as Lessor may designate in writing.
3. Security Deposit

The Security Deposit shall be held by Lessor as security for the faithful performance of the terms and conditions of this Agreement. 4. Use of Premises
The Premises shall be used solely for the purpose of operating an art gallery. Lessee shall not use or permit the Premises to be used for any unlawful purpose or in a manner that would violate any applicable laws, ordinances, or regulations.
5. Maintenance and Repairs
5.1 Lessor's Responsibilities
Lessor shall maintain the structural integrity of the Premises, including the roof, walls, and foundations, and shall be responsible for all repairs necessary to maintain the Premises in a safe and habitable condition.
5.2 Lessee's Responsibilities
Lessee shall keep the interior of the Premises in good order and condition. Lessee shall be responsible for all repairs and maintenance required to keep the Premises in a clean and sanitary condition.
6. Alterations
Lessee shall not make any alterations, improvements, or additions to the Premises without the prior written consent of Lessor. Any alterations made shall become the property of the Lessor upon termination of this Lease.
7. Insurance
Lessee shall obtain and maintain at its own expense a comprehensive general liability insurance policy covering the Premises, with a minimum coverage of $[0]. Lessee shall provide Lessor with a certificate of insurance evidencing such coverage prior to occupying the Premises.
8. Indemnification
Lessee agrees to indemnify, defend, and hold harmless Lessor and its agents from any and all claims, liabilities, damages, and expenses (including attorney's fees) arising from Lessee’s use of the Premises or any breach of this Agreement.
9. Default
9.1 Events of Default
The occurrence of any of the following shall constitute an "Event of Default" under this Agreement:
Lessee fails to pay Rent or any other amount due under this Agreement within [0] days after receipt of written notice from Lessor.
Lessee breaches any other term of this Agreement and fails to remedy such breach within [0] days after written notice from Lessor.
9.2 Remedies
Upon the occurrence of an Event of Default, Lessor shall have the right to terminate this Agreement and regain possession of the Premises by any lawful means.
10. Termination
This Agreement may be terminated by either party upon [0] days' written notice to the other party. Upon termination, Lessee shall vacate the Premises and return possession to Lessor in good condition, normal wear and tear excepted.
11. Surrender of Premises

12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [State].

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Assignment and Subletting
Lessee shall not assign this Agreement or sublet the Premises or any part thereof without the prior written consent of Lessor, which consent shall not be unreasonably withheld.
18. Waiver
No waiver of any term or condition of this Agreement shall be deemed a waiver of any other term or condition, nor shall any waiver constitute a continuing waiver.
