Free Academic Collaboration Agreement

This Academic Collaboration Agreement (“Agreement”) is entered into as of [January 1, 2050], by and between:

1. Purpose

2. Scope of Collaboration

• Co-developing algorithms and systems to analyze medical data, including imaging, medical histories, and patient records, to assist healthcare providers in decision-making.

• Organizing and participating in workshops, conferences, and seminars to disseminate research findings and foster collaboration with other institutions, organizations, and stakeholders in the field of healthcare and AI.

• Publishing joint research findings in high-impact academic journals and presenting at renowned international conferences to raise awareness about the potential of AI in healthcare.

2.2. Responsibilities of [Your Company Name]

3. Funding

3.1. Financial Commitment

3.3. Funding Withdrawal or Modification

If either party wishes to withdraw or modify their financial commitment to the project due to unforeseen circumstances, they must notify the other party at least [90] days in advance. Both parties will then engage in discussions to reach a mutually agreed solution, which may include scaling down the project or seeking alternative funding sources.

4. Intellectual Property

4.1. Ownership

• Any intellectual property (IP) developed during the course of the collaboration, including but not limited to patents, copyrights, algorithms, and software, will be jointly owned by [Your Company Name] and [Partner Company Name].

6. Term and Termination

6.2. Termination

In the event of early termination, both parties will cooperate to minimize disruption to research and ensure the smooth transition of any ongoing work. Should the Agreement be terminated due to breach, the breaching party shall be liable for any resulting damages.

7. Dispute Resolution

In the event of a dispute arising out of or in connection with this Agreement, the parties agree to attempt to resolve the dispute through informal negotiation. If the dispute cannot be resolved within [30] days, the parties agree to resolve it through binding arbitration under the rules of the American Arbitration Association.
