Free Professional Collaboration Agreement

This Professional Collaboration Agreement ("Agreement") is entered into as of the 1st day of January 2050, by and between:

• Revelium, a company incorporated and existing under the laws of the State of Alabama, with its principal place of business located at Mobile, AL 36601 ("Partner").

The Company and Partner may collectively be referred to as the "Parties" or individually as a "Party."

WHEREAS, the Company and Partner wish to enter into a collaborative arrangement to combine efforts in certain areas of mutual interest as outlined in this Agreement;

AND WHEREAS, the Parties have agreed to work together on a mutually beneficial basis, subject to the terms and conditions herein;

NOW, THEREFORE, the Parties agree as follows:

I. PURPOSE AND OBJECTIVES

The purpose of this Agreement is to formalize the collaboration between [Your Company Name] and Revelium in order to achieve the following objectives:

A. Collaboration Goals

Both Parties agree to engage in a collaborative effort to pursue joint initiatives in areas including, but not limited to, product development, market research, and shared technology advancements.

B. Roles and Responsibilities

Each Party will contribute to the collaboration as follows:

• [Your Company Name] shall provide resources, expertise, and support in the areas of product design, engineering, and supply chain management.

• Revelium shall contribute resources, expertise, and support in marketing strategies, sales operations, and customer outreach.

C. Scope of Collaboration

This collaboration will focus on jointly developing a new product line that will be marketed both locally and internationally, as well as expanding the customer base through combined marketing campaigns. The Parties may amend the scope by mutual written consent, if necessary.

II. TERM AND TERMINATION

A. Term of Agreement

This Agreement shall commence on the 1st day of January 2050 and shall remain in effect until the 31st day of December 2050, unless earlier terminated in accordance with the provisions of this Agreement.

B. Termination for Convenience

Either Party may terminate this Agreement at any time by providing 30 days written notice to the other Party.

C. Termination for Cause

Either Party may terminate this Agreement immediately upon written notice to the other Party in the event of a material breach by the other Party that remains uncured for a period of 15 days after receipt of notice of such breach.

D. Post-Termination Obligations

Upon termination of this Agreement, both Parties agree to cease all collaborative activities and return or destroy any confidential materials or information provided by the other Party. Each Party shall pay all amounts owed to the other Party for services rendered or expenses incurred prior to the termination.

III. CONTRIBUTIONS AND SHARING OF BENEFITS

A. Contributions by the Parties

The contributions of each Party shall be detailed in individual project plans or addenda, and will include both financial and non-financial contributions, such as intellectual property, personnel, and facilities.

B. Revenue Sharing

Any revenue or profits resulting from joint efforts will be shared by the Parties in accordance with the terms outlined in specific project agreements, to be determined based on the scope of each individual initiative.

C. Ownership of Results

Each Party shall retain ownership of its respective intellectual property and materials provided during the collaboration. Any new intellectual property created as a result of the collaboration shall be jointly owned unless otherwise agreed to in writing.

IV. CONFIDENTIALITY

A. Confidential Information

Each Party agrees to keep confidential all proprietary information disclosed by the other Party, including but not limited to business plans, strategies, marketing materials, customer information, and any other information that the disclosing Party deems confidential.

B. Exceptions to Confidentiality

The confidentiality obligations shall not apply to information that:

1. Was already known to the receiving Party at the time of disclosure;

2. Becomes publicly available through no fault of the receiving Party;

3. Is required to be disclosed by law or regulation.

C. Duration of Confidentiality Obligation

The confidentiality obligations will remain in effect for three (3) years following the termination or expiration of this Agreement.

V. FEES AND PAYMENT TERMS

A. Payment for Services

Both Parties agree that any payments related to specific collaboration projects will be outlined in separate agreements or project plans. Payment terms, including amounts and due dates, will be negotiated for each individual project.

B. Reimbursement of Expenses

Each Party will be responsible for its own expenses unless otherwise specified in a project agreement. If one Party incurs expenses on behalf of the other, those expenses will be reimbursed in accordance with the terms of the project agreement.

C. Late Payments

In the event that any payment is not made by the due date, a late fee of 1.5% per month will be charged on the outstanding amount.

VI. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts located in Mobile County, Alabama.

VII. SIGNATURES
