(hereinafter referred to as the "Receiving Party").

1. Purpose

The purpose of this NDA is to protect and maintain the confidentiality of certain proprietary marketing and brand-related information shared between the Disclosing Party and the Receiving Party. This information may include, but is not limited to, marketing plans, branding strategies, market research data, and customer lists (collectively referred to as "Confidential Information").

2. Confidential Information

The Disclosing Party agrees to share certain Confidential Information with the Receiving Party for the sole purpose of collaborating on a marketing campaign.

3. Obligations of the Receiving Party

The Receiving Party agrees to the following obligations:

3.1. Confidentiality

The Receiving Party shall maintain the confidentiality of all Confidential Information received from the Disclosing Party. The Receiving Party shall not disclose, share, or disseminate the Confidential Information to any third party without the prior written consent of the Disclosing Party.

3.2. Use Limitation

The Receiving Party shall use the Confidential Information solely for the purpose stated in Section 2 of this NDA and for no other purpose.

3.3. Safeguarding

The Receiving Party shall take reasonable measures to safeguard the Confidential Information, including but not limited to implementing security protocols to prevent unauthorized access.

3.4. Disclosure to Employees

The Receiving Party may disclose the Confidential Information only to its employees or contractors who have a legitimate need to know the information for the stated purpose. The Receiving Party shall ensure that such employees or contractors are bound by confidentiality obligations similar to those in this NDA.

4. Duration

This NDA shall commence on the effective date and shall remain in effect for a period of two (2) years from the effective date unless terminated earlier by mutual written agreement of the Parties or as provided in Section 5.

5. Exceptions

The confidentiality obligations set forth in this NDA shall not apply to Confidential Information that:

  • Is or becomes publicly known through no fault of the Receiving Party.

  • Was in the possession of the Receiving Party prior to receipt from the Disclosing Party, as evidenced by written records.

  • Is rightfully obtained by the Receiving Party from a third party without a duty of confidentiality.

6. Consequences of Breach

In the event of a breach of this NDA, the Parties acknowledge that the Disclosing Party may seek legal remedies, including injunctive relief and damages.

7. Governing Law

This NDA shall be governed by and construed in accordance with the laws of California. Any disputes arising under or in connection with this NDA shall be subject to the exclusive jurisdiction of the courts in California.
