Free Marketing Spokesperson Agreement

This Marketing Spokesperson Agreement, hereinafter referred to as the "Agreement", is made and entered into on this [Date: e.g., "1st day of January 2050"], by and in between [Your Company Name], a duly registered corporation, organized and existing under the laws of [State/Country, e.g., "California"], with its principal place of business located at [Your Company Address], hereinafter collectively referred to as the "Company", 

and 

[Spokesperson Name], an individual with legal capacity, whose primary residence is located at [Recipient Company Address], hereinafter referred to as the "Spokesperson". Both the Company and the Spokesperson may be referred to individually as a "Party" or collectively as the "Parties".

For the purpose of this Agreement, wherever the context so requires, the terms "Company" and "Spokesperson" shall mean and include their respective heirs, executors, administrators, and permitted assignments.

This Agreement sets forth the terms and conditions governing the engagement of the Spokesperson by the Company for the purposes as detailed herein.

I. Engagement:

In consideration of the mutual covenants and agreements set forth herein, and for other valuable considerations, the receipt and sufficiency of which are hereby acknowledged, [Your Company Name], hereinafter referred to as the "Company", hereby formally engages [Spokesperson Name], hereinafter referred to as the "Spokesperson", to serve as its official spokesperson in accordance with the terms and conditions stipulated within this Agreement. Concurrently, the Spokesperson, having considered the terms and responsibilities associated with this role, acknowledges and confirms their acceptance of such engagement and commits to performing the obligations and responsibilities entailed therein with due diligence, professionalism, and integrity, adhering to the stipulations and guidelines established by the Company.

II. Term:

This Agreement shall be in full force and effect for a duration of [e.g., "12 months"], commencing on the date first specified above, hereinafter referred to as the "Effective Date". Notwithstanding the aforementioned duration, either Party may seek early termination of this Agreement, in accordance with the termination clauses and provisions explicitly set forth herein. Unless otherwise extended by mutual written consent of both Parties or prematurely terminated in line with the conditions stipulated within this Agreement, the obligations, rights, and duties of both Parties under this Agreement shall cease upon the completion of the specified term.

III. Duties and Responsibilities:

In accepting the role as the official spokesperson for the Company, [Spokesperson Name], hereinafter referred to as the "Spokesperson", hereby acknowledges, agrees to, and covenants the following duties and responsibilities:

(a) The Spokesperson shall consistently represent and promote the Company in a positive, accurate, and professional manner, ensuring that all representations uphold the values, mission, and vision of the Company.

(b) The Spokesperson shall actively participate in various marketing and promotional campaigns, undertake interviews as required, and make appearances at public events or functions as designated by the Company, ensuring maximum visibility and positive promotion of the Company's brand, products, or services.

(c) The Spokesperson shall strictly adhere to the Company's established branding and messaging guidelines. This includes ensuring that any and all content, statements, or representations made in the capacity of the spokesperson are in alignment with the Company's brand identity, objectives, and approved messaging.

The Spokesperson understands that any deviation from, or non-compliance with, the above-stated duties and responsibilities may be deemed a material breach of this Agreement and may result in actions as specified under the termination or indemnification provisions herein.

IV. Compensation:

As consideration for the services rendered by the Spokesperson pursuant to the terms and conditions of this Agreement, [Your Company Name], hereinafter referred to as the "Company", agrees to remunerate [Spokesperson Name], hereinafter referred to as the "Spokesperson", a total compensation sum of [e.g., "$50,000"]. This compensation will be disbursed in regular installments, either on a monthly or quarterly basis, as mutually agreed upon by both Parties. All payments shall be made in accordance with the Company's standard payment procedures and will be subject to any requisite statutory deductions or withholdings. The Parties acknowledge and agree that this compensation constitutes the entire remuneration due to the Spokesperson for their services under this Agreement, and no additional sums or benefits, save for those expressly stipulated herein, shall be due unless otherwise mutually agreed upon in writing.

V. Confidentiality:

The Spokesperson agrees not to disclose any confidential information pertaining to the Company's operations, products, or strategies without prior written consent.

VI. Termination:

VII. Intellectual Property:
