Marketing Services Agreement
This Marketing Services Agreement (hereinafter referred to as the "Agreement") is entered into as of July 2, 2055 by and between IntelShop, with a principal place of business at Philadelphia, PA 19102 (hereinafter referred to as the "Client"), and ZenExa, with a principal place of business at Las Vegas, NV 89101 (hereinafter referred to as the "Service Provider").
1. Purpose
The purpose of this Agreement is to set forth the terms and conditions under which the Service Provider will provide marketing services to the Client. These services are more fully described in Section 2 of this Agreement.
2. Scope of Services
2.1 Description of Services
The Service Provider agrees to provide the Client with the following marketing services:
Development and implementation of marketing strategies.
Social media management and content creation.
Search Engine Optimization (SEO) services.
Email marketing campaigns.
Performance analytics and reporting.
2.2 Duration of Services
The services shall commence on [Start Date] and shall continue until [End Date], unless terminated earlier in accordance with the termination provisions of this Agreement.
3. Compensation
In consideration for the services to be provided by the Service Provider, the Client agrees to pay the Service Provider the sum of [Amount] per [Time Period]. Payment shall be due within [Number] days of receipt of an invoice from the Service Provider.
4. Termination
Either party may terminate this Agreement upon 30 days’ written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 15 days after receipt of notice thereof. Upon termination, the Client shall pay for all services rendered and expenses incurred by the Service Provider up to the date of termination.
5. Confidentiality
Both parties agree to maintain the confidentiality of all confidential and proprietary information, as defined below, that is disclosed pursuant to this Agreement. The term “Confidential Information” shall include, but not be limited to, trade secrets, business plans, strategies, customer lists, and marketing information.
6. Miscellaneous
6.1 Amendments
This Agreement may not be amended, supplemented, modified, or otherwise changed except by a writing executed by duly authorized representatives of both parties.
6.2 Governing Law
This Agreement shall be governed by the laws of the State of [State] without regard to its conflict of laws principles.
6.3 Entire Agreement
This Agreement constitutes the entire agreement between the parties, and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
