Free Exclusive Recruitment Agreement

This Exclusive Recruitment Agreement ("Agreement") is made and entered into as of March 1, 2050, by and between [Your Company Name], located at [Your Company Address], and GazeGuru, located at Columbus, OH 43215 (collectively referred to as the “Parties”).

I. Purpose of the Agreement

The purpose of this Agreement is to establish the exclusive recruitment services to be provided by [Your Company Name] to GazeGuru for the sourcing, screening, and placement of candidates for positions within GazeGuru. This Agreement is intended to define the terms and conditions under which [Your Company Name] will assist GazeGuru in meeting its staffing needs during the term of this Agreement.

II. Exclusivity

GazeGuru agrees that during the term of this Agreement, it will exclusively engage [Your Company Name] for the recruitment services outlined herein. GazeGuru will not engage any other recruitment agency or firm for the recruitment of candidates for the positions specified in this Agreement without the prior written consent of [Your Company Name].

III. Scope of Recruitment Services

[Your Company Name] will provide the following recruitment services to GazeGuru:

• Candidate Sourcing: [Your Company Name] will utilize its network and resources to identify qualified candidates for the roles specified by GazeGuru.

• Screening and Interviewing: [Your Company Name] will screen candidates based on the requirements provided by GazeGuru and will conduct interviews to assess qualifications, skills, and suitability for the role.

• Candidate Presentation: After screening, [Your Company Name] will present a list of qualified candidates to GazeGuru for consideration.

• Offer Coordination: [Your Company Name] will coordinate job offers and assist in negotiating terms with selected candidates.

• Ongoing Support: Throughout the recruitment process, [Your Company Name] will provide updates, conduct follow-up communications, and ensure candidates’ expectations align with GazeGuru's needs.

IV. Fee Structure and Payment Terms

Recruitment Fee

The recruitment fee for each successfully placed candidate shall be 15% of the candidate's first-year annual salary. This fee will be payable by GazeGuru upon the candidate’s start date.

Payment Terms

The recruitment fee will be due 30 days after the candidate’s first day of employment with GazeGuru. If payment is not received within this period, a penalty of 1.5% per month will be applied to the outstanding balance.

Refund Policy

If a placed candidate leaves the company within 90 days of their start date, [Your Company Name] will provide a replacement candidate at no additional charge or refund 50% of the recruitment fee, as agreed upon by both Parties.

V. Term and Termination

Term

This Agreement will remain in effect from March 1, 2050, until March 1, 2051, unless terminated earlier as provided in this Agreement.

Termination

Either Party may terminate this Agreement with 30 days written notice. If GazeGuru terminates the Agreement, any outstanding recruitment fees for candidates placed prior to termination will remain due. VI. Confidentiality

Both Parties agree to keep all information exchanged during the term of this Agreement confidential, including but not limited to candidate information, salary details, and proprietary business information. This confidentiality obligation remains in effect after the termination of this Agreement.

VII. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.

VIII. Indemnification

Both Parties agree to indemnify and hold harmless the other Party from any claims, damages, liabilities, or losses arising out of the negligent or wrongful actions of the indemnifying Party in connection with the performance of this Agreement.

IX. Entire Agreement

This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements, whether oral or written, relating to the subject matter of this Agreement.

X. Signatures

By signing below, the Parties agree to all terms and conditions outlined in this Exclusive Recruitment Agreement.
