Professional Non-Recruitment Agreement
I. Introduction
This Professional Non-Recruitment Agreement (the "Agreement") is entered into as of August 10, 2050, by and between:
Venturex, with its principal office at Albuquerque, NM 87101 ("First Party"), and
[Your Company Name], with its principal office at [Your Company Address] ("Second Party").
The purpose of this Agreement is to establish a mutual understanding between the Parties to ensure compliance with the terms of non-recruitment obligations and related professional standards.
II. Scope of Agreement
A. Non-Recruitment Obligations
The Parties agree not to solicit, recruit, or hire employees, contractors, or other representatives of the other Party during the term of this Agreement and for a period of 12 months following its termination unless expressly agreed to in writing.
B. Permitted Activities
Notwithstanding the above, the following activities are permitted under this Agreement:
Public recruitment through ads, job fairs, and open hiring.
Hiring resulting from unsolicited applications submitted independently by individuals.
III. Term and Termination
A. Term of the Agreement
This Agreement shall commence on August 10, 2050, and shall remain in effect for a period of two (2) years, unless terminated earlier in accordance with this section.
B. Termination
Either Party may terminate this Agreement with 30 days' written notice to the other Party.
IV. Confidentiality
A. Confidential Information
Both Parties agree to protect and maintain the confidentiality of all proprietary information disclosed during the term of this Agreement, including but not limited to:
Business strategies, financial data, and marketing plans.
Information relating to employees, contractors, or job applicants.
B. Exceptions
Confidential information does not include information that:
Is publicly available at the time of disclosure.
Becomes publicly available through no fault of the receiving Party.
Is independently developed without use of the other Party’s confidential information.
V. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of New Mexico, without regard to its conflict of law principles.
VI. Dispute Resolution
A. Negotiation
The Parties agree to resolve any disputes arising under this Agreement through good-faith negotiation.
B. Arbitration
If negotiation fails, disputes shall be submitted to binding arbitration in Albuquerque, New Mexico, under the rules of the American Arbitration Association.
VII. Signatories
By signing below, the Parties acknowledge that they have read and understood the terms of this Agreement and agree to be bound by them.
