Free Recruitment Incentive Service Agreement

I. Introduction
This Recruitment Incentive Service Agreement ("Agreement") is made and entered into on the 12th day of December, 2050, by and between:
BluWave, a corporation organized and existing under the laws of the State of Utah, with its principal office located at Salt Lake City, UT 84101 (hereinafter referred to as "Client"), and
[Your Company Name], a corporation organized and existing under the laws of the State of Utah, with its principal office located at [Your Company Address] (hereinafter referred to as "Service Provider").
Collectively, the "Parties."
II. Purpose
The purpose of this Agreement is to establish the terms and conditions under which [Your Company Name] will provide recruitment incentive services to BluWave. The Service Provider will assist the Client in incentivizing and rewarding individuals for the successful recruitment of candidates into specific roles within the Client's organization.
III. Definitions
For the purposes of this Agreement:
Recruitment Incentive: A financial or non-financial reward offered to individuals or entities who successfully refer qualified candidates to the Client's open job positions.
Qualified Referral: A candidate who meets the Client's criteria for a specific position and is hired after referral by an individual or entity under the terms of this Agreement.
Referral Program: The formal process by which individuals or entities may submit candidates to the Client for possible employment, qualifying for incentives as specified.
IV. Scope of Services
A. General Services
The Service Provider will offer the following services:
Referral Management: Overseeing the submission and tracking of candidate referrals by third parties.
Incentive Program Design: Working with the Client to create an appropriate and competitive incentive program to encourage candidate referrals.
Incentive Payments: Calculating and distributing recruitment incentives to individuals or entities who meet the criteria for successful referrals.
Reporting and Analytics: Providing regular reports to the Client on the effectiveness and status of the referral program, including the number of successful referrals and payments made.
B. Service Level Expectations
The Service Provider agrees to meet the following performance criteria:
Process and validate all recruitment referrals within seven (7) business days of receipt.
Ensure that at least 80% of all referrals meet the Client’s defined qualifications for employment.
Provide monthly updates on the status of all referred candidates, including the outcome of interviews, offers, and hires.
C. Exclusions
The following services are excluded from this Agreement:
Direct recruiting or headhunting of candidates outside of the referral program.
Legal services for contract or employment negotiations.
Post-placement onboarding services.
V. Fees and Incentive Structure
A. Incentive Fees
The Client agrees to pay the Service Provider the following incentive fees for each successful referral:
Cash Incentives: A fee of $2,500 per successful referral hired by the Client.
Non-Cash Incentives: Gift cards or travel vouchers may be mutually agreed upon.
B. Payment Terms
The Client will make payments for incentive rewards on a monthly basis, within thirty (30) days following the confirmation of hire by the referred candidate. Payments will be made to the individual or entity submitting the referral.
VI. Confidentiality
A. Confidential Information
Both parties agree to maintain confidentiality concerning all proprietary information, including but not limited to candidate details, compensation structures, and referral sources.
B. Duration of Confidentiality
The confidentiality obligations shall survive for a period of three (3) years following the termination or expiration of this Agreement.
VII. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.
VIII. Indemnification
A. Indemnity by the Service Provider
The Service Provider agrees to indemnify and hold harmless BluWave, its officers, employees, and agents from any claims, damages, or liabilities arising from the recruitment incentive program.
B. Indemnity by the Client
The Client agrees to indemnify and hold harmless [Your Company Name], its officers, employees, and agents from any claims, damages, or liabilities related to the employment of referred candidates, including employment disputes or claims after placement.
IX. Term and Termination
A. Term
This Agreement shall become effective as of January 1, 2050, and will continue in effect for a period of one (1) year, unless terminated earlier by either party in accordance with the terms of this Agreement.
B. Termination for Convenience
Either party may terminate this Agreement at any time by providing thirty (30) days’ written notice to the other party.
C. Termination for Cause
Either party may terminate this Agreement immediately in the event of a material breach by the other party, provided the breach is not cured within ten (10) days of receiving written notice of the breach.
X. Miscellaneous
A. Force Majeure
Neither party shall be held responsible for delays or failure to perform due to causes beyond its reasonable control, including acts of nature, acts of government, or other unforeseeable events.
B. Amendments
This Agreement may only be amended by written agreement signed by both parties.
XI. Signatory Section
