Recruitment Agreement for Executive Positions
I. Introduction
This Recruitment Agreement for Executive Positions ("Agreement") is entered into on July 15, 2050, by and between:
InnoSpecs, a company located in Long Beach, CA 90801 ("Company"), and

The purpose of this Agreement is to establish the terms and conditions under which the Recruiter will provide specialized recruitment services for executive-level positions within the Company.
II. Services Provided
A. Scope of Recruitment
The Recruiter agrees to identify, source, and present qualified candidates for executive roles, including but not limited to:
Chief Executive Officer (CEO)
Chief Financial Officer (CFO)
Chief Operating Officer (COO)
Other senior leadership positions as requested by the Company.
B. Process
The Recruiter shall:
Gain a deep understanding of the company’s culture, values, and executive needs.
Source candidates through professional networks, databases, and tailored outreach.
Perform thorough screening, including interviews and reference checks.
Present a shortlist of qualified candidates to the Company for final selection.
III. Compensation and Payment
A. Fee Structure
The Company agrees to pay the Recruiter a placement fee equal to 25% of the annual base salary of the hired executive.
B. Payment Terms
Retainer Fee: An initial retainer fee of $15,000 is payable upon signing this Agreement.
Final Payment: The remaining balance is due within 30 days of the executive’s start date.
C. Replacement Guarantee
If the hired executive voluntarily resigns or is terminated within 120 days, the Recruiter will provide a replacement search at no additional charge.
IV. Obligations of the Company
A. Collaboration
The Company agrees to:
Provide detailed job descriptions and requirements for executive positions.
Offer timely feedback on candidates presented by the Recruiter.
B. Transparency
The Company shall disclose any internal or external factors that may influence the hiring process or candidate suitability.

VI. Governing Law

VII. Term and Termination
A. Term
This Agreement commences on July 15, 2050, and remains in effect until the successful placement of an executive or unless terminated earlier as provided below.
B. Termination
By Either Party: Either Party may terminate this Agreement with 30 days’ written notice.
For Cause: Immediate termination is permitted in the event of a material breach by the other Party.
VIII. Dispute Resolution
A. Mediation and Arbitration
The Parties agree to attempt to resolve disputes through mediation. If unresolved, the matter will proceed to binding arbitration under the rules of the American Arbitration Association, with the venue in Long Beach, California.
IX. Signatories
