Free Sponsorship Agreement

This sponsorship agreement ("Agreement") is made on the first day of January 2050, ("Effective Date") by and between: RunRunners Corporation 505 Cedar Road, Brookside, CA 90240 ("Sponsor") And KickIt Sports Academy 909 Cedar Lane, Springfield, CA 90230 ("Sponsored Party")

1. Purpose of the Agreement

The Sponsor agrees to provide financial backing to the Sponsored Party for the specific purpose of promotional activities in relation to the soccer tournament. The Sponsored Party agrees to adhere to the obligations and representation as stipulated in this agreement.

2. Sponsorship Details

The Sponsored Party will receive the following from the Sponsor:

• Financial resources as agreed by both parties.

• Support for promotional activities for the soccer tournament.

The Sponsored Party shall accordingly facilitate the Sponsor's promotional strategies and efforts concerning the soccer tournament, at all times reflecting the brand identity of the Sponsor.

3. Obligations of the Parties

The Sponsored Party agrees:

• To abide by all relevant rules, regulations, and conduct.

• To represent the Sponsor's brand positively and professionally.

• To provide performance metrics and regular updates as may be required by the Sponsor.

The Sponsor agrees:

• To provide timely financial support as agreed.

• To provide necessary promotional materials and guidance to the Sponsored Party.

4. Intellectual Property

Unless otherwise agreed, all materials, logos, images, and trademarks related to the Sponsor and used in pursuit of the sponsorship shall remain the intellectual property of the Sponsor.

5. Exclusivity Clause

During the term of this agreement, the Sponsored Party agrees not to promote, or be involved in promotional activities with any other entity competing with Sponsor. Any such involvement may lead to termination of this agreement.

6. Dispute Resolution

In case of any disputes arising from this agreement, both parties agree to seek resolution through arbitration as per the prevailing laws.

7. Governing Laws

This agreement shall be governed by and construed in accordance with the laws of the location of the Sponsor.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date mentioned at the beginning of this Agreement.
