Free Travel Agency Sponsorship Agreement

This Sponsorship Agreement ("Agreement") is made effective as of [Date], by and between [Your Company Name], a [State] Corporation located at [Your Company Address] ("Sponsor"), and [Sponsee's Name], located at [Address] ("Sponsee").

RECITALS

WHEREAS, Sponsor conducts marketing and promotion through sponsorships to enhance brand recognition and consumer loyalty;

WHEREAS, Sponsee organizes and hosts events that align with Sponsor's target market;

WHEREAS, Sponsor wishes to sponsor Sponsee's event described herein under the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties hereto agree as follows:

2. Terms of Sponsorship

3. Obligations of Sponsee

• Sponsee shall provide Sponsor with the agreed-upon promotional opportunities as outlined in this Agreement.

• Sponsee shall use its best efforts to conduct the event professionally and to minimize any disruptions that could adversely affect the Sponsor’s image.

• Sponsee agrees to furnish the Sponsor with reports and proof of performance following the event, including photographs, media coverage, and audience metrics.

4. Intellectual Property

A. Grant of Rights:

Sponsor grants Sponsee a non-exclusive, non-transferable, limited license to use Sponsor’s trademarks, service marks, and logos (collectively, “Marks”) as detailed in the promotional materials and for the duration of the event. The use of these Marks shall strictly adhere to the Sponsor's branding guidelines, and any usage must receive prior written approval from the Sponsor.

B. Ownership and Goodwill:

All rights in the Marks, including any goodwill associated with the use of the Marks, will inure solely to the benefit of the Sponsor. Sponsee acknowledges that it has no ownership rights in the Marks and agrees not to challenge or assist others to challenge the validity of the Marks or their registration or attempt to register any marks, names, or trade dress confusingly similar to those of the Sponsor.

5. Termination

A. Early Termination:

This Agreement may be terminated by either party without cause upon 30 days written notice to the other party. Additionally, this Agreement may be immediately terminated by the Sponsor in the event of any breach of intellectual property usage or misrepresentation by the Sponsee.

B. Consequences of Termination:

Upon termination, all rights granted to Sponsee under this Agreement shall cease immediately, and Sponsee must discontinue all use of Sponsor's Marks. Any materials in Sponsee's possession bearing Sponsor's Marks must be returned or destroyed as directed by the Sponsor.

6. Indemnification

A. Scope of Indemnification:

Each party agrees to indemnify, defend, and hold harmless the other party and its affiliates, and their respective officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorney fees, that are incurred by indemnified party/ies, arising out of or related to any claim of a third party alleging:

• Breach of any obligation, representation, or warranty under this Agreement.

• Negligence or more culpable act or omission (including recklessness or willful misconduct) in connection with the performance of its obligations under this Agreement.

B. Notice and Cooperation:

The indemnified party shall promptly notify the indemnifying party of any claim and cooperate with the indemnifying party at the indemnifying party's sole cost and expense. The indemnifying party will control the defense and settlement of any claim; however, the indemnified party may participate in the defense with its own counsel and at its own expense.

7. Miscellaneous

A. Amendments and Waiver:

No amendment to or modification of this Agreement is effective unless it is in writing and signed by an authorized representative of each party. No waiver by any party of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the party so waiving.

B. Severability:

If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such invalidity shall not affect the other terms or provisions of this Agreement, which shall remain in full force and effect.

C. Non-Exclusivity:

The provisions of this Agreement are not exclusive, and nothing herein shall be construed as prohibiting either party from participating in similar agreements with other parties.

D. Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of the State of [State Name], without giving effect to its principles of conflicts of law. The parties consent to exclusive jurisdiction and venue in the federal and state courts located in [City, State].
