Marketing Audio Content Agreement
This Marketing Audio Content Agreement (the "Agreement") is entered into as of July 20, 2055, (the "Effective Date") by and between [Your Company Name], a business entity registered in Texas, with its principal place of business at Mission, TX 66202 (hereinafter referred to as the "Company"), and Buckeye Incorporated, an individual/entity registered in Florida, with its principal place of business at Tampa, FL 33602 (hereinafter referred to as the "Content Creator").
RECITALS
WHEREAS, the Company desires to engage the services of the Content Creator to create marketing audio content, and the Content Creator agrees to provide such services in accordance with the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Company and the Content Creator (collectively referred to as the "Parties") hereby agree as follows:
1. Scope of Services
1.1. The Content Creator shall create marketing audio content, including but not limited to, podcasts, advertisements, voice-overs, and any other audio content as agreed upon by both Parties (the "Content").
1.2. The Content Creator shall deliver the Content to the Company in the format and specifications agreed upon by the Parties.
2. Compensation
2.1. In consideration for the services provided by the Content Creator, the Company shall pay the Content Creator a fee of $500 for each piece of audio content created.
2.2. Payment shall be made on a monthly basis.
3. Ownership and Rights
3.1. The Company shall have exclusive ownership and all rights, title, and interest in and to the Content, including but not limited to copyright, trademark, and any other intellectual property rights.
3.2. The Content Creator hereby irrevocably waives any moral rights or similar rights in the Content and agrees not to assert any such rights against the Company.
4. Confidentiality
4.1. The Content Creator shall keep all information provided by the Company confidential and shall not disclose such information to any third party.
5. Term and Termination
5.1. This Agreement shall commence on the Effective Date and shall continue until terminated by either Party with 30 days written notice.
5.2. Either Party may terminate this Agreement for cause immediately upon written notice in the event of a material breach by the other Party.
6. Independent Contractor
6.1. The Content Creator is an independent contractor and shall not be considered an employee, agent, or representative of the Company.
7. Governing Law and Dispute Resolution
7.1. This Agreement shall be governed by and construed in accordance with the laws of Florida.
7.2. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the arbitration Organization, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
8. Entire Agreement
8.1. This Agreement constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, whether oral or written.
