Marketing Trade Show Booth Agreement

THIS AGREEMENT ("the Agreement") is entered into by and between:

1. [YOUR COMPANY NAME], a corporation duly organized and existing under the laws of [State/Country of Incorporation], with its registered office situated at [Company Address]. For the purpose of this Agreement, it shall be referred to as "the Company".

AND

2. [EXHIBITOR NAME], an individual residing at [EXHIBITOR ADDRESS], reachable at [EXHIBITOR EMAIL] and [EXHIBITOR's PHONE NUMBER]. For the purpose of this Agreement, it shall be referred to as "the Exhibitor".

WHEREAS, the Company is the organizer of a trade show event and wishes to provide booth spaces to exhibitors for the purpose of displaying and promoting their respective products and/or services;

WHEREAS, the Exhibitor desires to rent such a booth space to showcase its offerings during the event;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and other valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto agree as follows:

1. RECITALS

1.1. The Company is organizing a trade show event on [Specific Date or Date Range, 2050] at [Specific Venue or Location].

1.2. The Exhibitor wishes to lease a booth space at the trade show for the purpose of displaying and promoting its products/services.

2. BOOTH ALLOCATION

2.1. The Company agrees to provide the Exhibitor with a booth space, as per the specifications outlined in Appendix A of this Agreement.

3. PAYMENT TERMS

3.1. The Exhibitor agrees to pay a booth rental fee as detailed in Appendix B.

4. BOOTH SET-UP AND BREAKDOWN

5. USE OF SPACE

6. INSURANCE AND LIABILITY

6.2. The Company shall not be held liable for any damages, injuries, or losses incurred by the Exhibitor.

7. TERMINATION

7.1. In the event of a breach of any terms outlined in this Agreement by the Exhibitor, the Company reserves the right to terminate the Agreement immediately, with no refund of the booth rental fee.

8. CONFIDENTIALITY

8.1. Any proprietary information exchanged between the parties shall remain confidential.

9. FORCE MAJEURE

9.1. Neither party shall be liable for any failure to perform its obligations if such failure results from acts beyond its reasonable control, such as natural disasters, strikes, or governmental actions.

10. GOVERNING LAW

10.1. This Agreement shall be governed by and interpreted in accordance with the laws of [Specific State/Country].

11. AMENDMENTS

11.1. Any changes or modifications to this Agreement must be in writing and signed by both parties.

12. ENTIRE AGREEMENT
