1. PARTIES:

2. PURPOSE:

This Non-Disclosure Agreement (hereafter "Agreement") intends to protect confidential sales lead information related to the phone-case-making service provided by the Disclosing Party.

3. DEFINITION OF CONFIDENTIAL INFORMATION:

For this Agreement, "Confidential Information" refers to any data, leads, contact details, strategies, documentation, business methods, and any other proprietary information related to the phone-case-making service that is not publicly known and Disclosing Party has disclosed to the Recipient Party.

4. OBLIGATIONS:

a) The Recipient Party agrees to hold and maintain the Confidential Information in strictest confidence for the sole benefit of the Disclosing Party.

b) The Recipient Party agrees not to use the Confidential Information for any purpose other than for the specific purpose stated in this Agreement.

c) The Recipient Party agrees not to disclose or allow access to the Confidential Information to any third party without the prior written consent of the Disclosing Party.

5. EXCLUSIONS:

Confidential Information does not include information that:

a) Is publicly available at the time of disclosure or subsequently becomes publicly available other than as a result of the Recipient Party's breach of this Agreement.

b) Was known to the Recipient Party, without restriction, before the disclosure by the Disclosing Party.

c) Is independently developed by the Recipient Party without any use of the Confidential Information.

6. DURATION:

This Agreement becomes effective on the date of its signing and will remain in effect for three (3) years from the date of the last disclosure of Confidential Information.

7. RETURN OR DESTRUCTION:

Upon the Disclosing Party's request, the Recipient Party agrees to either return or destroy all copies of the Confidential Information in its possession, including any notes, images, diagrams, or other materials.

8. GOVERNING LAW:

This Agreement shall be governed by and construed per the laws of the State of Texas, without giving effect to its conflicts of law principles.

9. ENTIRE AGREEMENT:

This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, written or oral, relating to the subject matter of this Agreement.

10. AMENDMENTS:

Any changes or modifications to this Agreement must be in writing and signed by both parties.

11. SIGNATURES:

By signing below, both parties acknowledge that they have read, understood, and agree to be bound by the terms of this Agreement.
