Free Delivery Service Contract

1. Introduction
This Delivery Service Contract (the "Contract") is entered into this [DATE] by and between [Your Company Name], hereinafter referred to as ( "Service Provider") and [CLIENT'S NAME], hereinafter referred to as ( "Client"), collectively referred to as the "Parties".
2. Services
2.1 Service Description
Under the terms of this Contract, the Party who is identified as the Provider herein has agreed that they will be responsible for providing certain delivery services to the other Party, who is identified as the Client. The specifics and details of these delivery services will follow as outlined within the clauses and provisions of this Contract.
2.2 Service Inclusions
The range of delivery services that are offered encompasses a myriad of options, but it is not limited to them. One of these involves the same-day delivery of nursery plants and gardening supplies. These items are transported from the store to the client directly to the customers. However, there is one limitation in this regard - the customers must reside within a radius of 50 miles from the store for this service to be available to them.
2.3 Additional Services (if applicable)
The Parties involved have the option to come to a mutual agreement regarding extra services. This Contract must be reduced into written form for validity and, once established, will be viewed as an integral constituent of this overarching Agreement in discussion.
3. Delivery Schedule
3.1 Agreed Upon Schedule
The Provider, as part of their obligations, shall strictly adhere to the delivery schedule that has been previously agreed upon between all involved parties.
3.2 Communication of Deviations
If there are any deviations or variations from the delivery schedule that have been mutually agreed upon, such changes must be communicated to the Client in an expeditious and timely manner.
4. Fees
4.1 Fee Structure
The Client shall pay the Provider the following fees for the delivery services:
$10 per delivery within a 10-mile radius
$20 per delivery within a 20-mile radius
$30 per delivery within a 30-mile radius
$40 per delivery within a 40-mile radius
$50 per delivery within a 50-mile radius
4.2 Payment Terms
The terms for making payment have been determined and shall proceed accordingly: the individual or company that is receiving our services, whom we will refer to as the Client, shall receive an invoice that details the charges for that month. This invoice will be sent out every month, recurring every 30 days. Once the Client has received this invoice, they are obligated to make a payment satisfying the amount due within 15 days from the date the invoice was issued.
5. Responsibilities of the Provider
5.1 Provider's Obligations
The Provider shall take responsibility for making sure that all deliveries are carried out punctually and also ensuring that these deliveries are made in strict compliance with the instructions specified by the Client.
5.2 Tracking and Communication
It is the required obligation of the Provider to render and supply the necessary tracking information for all delivery shipments. This is to ensure the activity's traceability is properly kept in check. Henceforth, the Provider must continually update the Client about the progression and current standing of their cargo consignments to enable effective communication and complete transparency about the status of their shipments.
5.3 Package Handling
The Service Provider has a responsibility to manage all packages with the utmost care. They need to ensure the safety of these items by taking the required precautions. They need to prevent any possibility of damage or loss while the packages are in transit. They've been entrusted with this responsibility and they must make sure that all the goods reach their destinations in perfect condition.
6. Responsibilities of the Client
6.1 Client's Obligations
The party who is recognized as the Client is required by the terms to extend clear-cut and precise instructions about the delivery to the party recognized as the Provider.
6.2 Packaging Requirements
The Client is expected to take on the responsibility of making sure that all of the packages are packed properly. This includes not only ensuring that the items within are secure but also that the external labels are correctly placed and filled out. This should be done by the guidelines that have been particularly provided by the Provider.
6.3 Notification of Changes
If there are any modifications or alterations to the delivery requirements or schedules, the Client must ensure that the Provider is notified immediately and without delay.
7. Liabilities
7.1 Limitation of Liability
The Service Provider shall bear no responsibility or be held accountable for any loss, damage, or delay that is triggered by circumstances that are outside its purview and control. This encompasses a range of factors including but not limited to uncontrollable acts of nature, work stoppages due to labor disputes such as strikes, or delays caused by problems in the transportation network.
7.2 Exceptions to Liability
The liability of the Provider, in the event of any loss or damage to the packages belonging to the Client, will be held to a maximum amount of $100 for each shipment, except in instances where a different amount has been agreed upon in a written contract.
8. Termination
8.1 Termination Rights
Either of the involved Parties has the right to bring about the termination of this Contract. However, this action would require a notice to be given in written form to the other Party. This notice has to be delivered 30 days ahead of the intended termination date.
8.2 Effect of Termination
Should this Contract be terminated, it does not imply that either Party will be absolved from fulfilling any obligations that have accumulated before the date the Contract was ended.
9. Governing Law
This Contract shall be governed by and construed by the laws of the State of California.
10. Entire Agreement
This Contract constitutes the entire contract between the Parties concerning the subject matter hereof and supersedes all prior contracts and understandings, whether written or oral, relating to such subject matter.
