ARTICLE 1: DEFINITIONS AND INTERPRETATIONS

1.1 Definitions: For the purposes of this Agreement, the following terms shall have the following meanings:

• "Sponsorship Fee" means the total amount payable by the Sponsor to the Nursing Home under this Agreement.

1.2 Interpretation: Unless the context otherwise requires, references to Articles and Sections mean the articles and sections of this Agreement; the terms "hereof," "herein," "hereby," "hereto," and derivative or similar words refer to this entire Agreement; and the word "including" means "including without limitation."

ARTICLE 2: SPONSORSHIP GRANT

2.1 Grant of Rights: The Nursing Home hereby grants to the Sponsor the right to be the [specify level, e.g., "Gold," "Silver," "Bronze"] sponsor of the Event, subject to the terms and conditions of this Agreement.

• Logo placement in all event-related marketing materials, including flyers, posters, emails, and social media posts.

• Speaking Opportunities: The Sponsor will be given the opportunity to speak at the Event, either during the opening or closing ceremonies, for a duration of [specify duration, e.g., 10-15 minutes]. This will allow the Sponsor to directly communicate with attendees, share their vision, commitment to the community, and the importance of supporting the nursing home.

The size and specific location of the exhibition space will be determined by the Nursing Home in consultation with the Sponsor.

• Customized Content: The Sponsor will have the opportunity to collaborate with the Nursing Home to create customized content, such as featured articles or interviews, that will be shared on the Nursing Home's website, social media channels, and in the Event's official program.

• Feedback and Engagement Reports: Post-Event, the Sponsor will receive a detailed report including feedback from attendees, engagement statistics for social media posts mentioning the Sponsor, and an overview of the coverage and impact of the Sponsor's participation.

• Option to Renew: The Sponsor will have the first option to renew their sponsorship for the next Event at the current terms before any new sponsorship offers are extended to other parties.

5.2 Delivery of Benefits: The Nursing Home agrees to deliver the Sponsorship Benefits to the Sponsor no later than [timeframe] prior to the Event.

ARTICLE 6: CONFIDENTIALITY

6.1 Each party agrees to keep confidential all non-public information disclosed by the other party in connection with this Agreement and to use such information solely for the purposes of fulfilling its obligations under this Agreement.

ANNEX A: PAYMENT SCHEDULE AND DETAILS

SPONSORSHIP FEE
