PPE Confidentiality NDA
This Personal Protective Equipment (PPE) Confidentiality Non-Disclosure Agreement ("Agreement") is entered into on this [Month Day, Year] (“Effective Date”), by and between, [Your Company Name], with its principal office located at [Your Company Address], hereinafter referred to as the "Disclosing Party”, and [Your Partner Company Name / Second Party], with an address at [Your Partner Company Name / Second Party Address], hereinafter referred to as the "Receiving Party”, collectively referred as the "Parties".
WHEREAS, the Disclosing Party may disclose certain confidential and proprietary information related to PPE management and safety protocols to the Receiving Party; and
WHEREAS, the Parties desire to protect the confidentiality of the Confidential Information.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:
1. CONFIDENTIAL INFORMATION
1.1. The term "Confidential Information" shall include any and all information, data, materials, documents, know-how, trade secrets, and other information disclosed by the Disclosing Party to the Receiving Party, whether in written, oral, electronic, or any other form, related to PPE management, safety protocols, equipment specifications, and other related information.
1.2. The Receiving Party agrees to hold the Confidential Information in strict confidence and to take all reasonable precautions to prevent any unauthorized disclosure, copying, or use of the Confidential Information.
2. NON-DISCLOSURE
The Receiving Party shall not, at any time during or after the term of this Agreement, disclose, directly or indirectly, any Confidential Information to any third party without the prior written consent of the Disclosing Party.
3. USE OF CONFIDENTIAL INFORMATION
The Receiving Party shall use the Confidential Information solely for the purpose of discussions, negotiations, or collaboration related to PPE management and safety protocols between the Parties.
4. RETURN OF CONFIDENTIAL INFORMATION
Upon the written request of the Disclosing Party, or upon the termination of this Agreement, the Receiving Party shall promptly return all Confidential Information, including any copies, notes, or extracts thereof, to the Disclosing Party or certify their destruction.
5. TERM
This Agreement shall remain in effect for a period of two (2 )years from the Effective Date unless terminated earlier by written agreement of the Parties.
6. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
IN WITNESS WHEREOF, the Parties hereto have executed this Personal Protective Equipment (PPE) Confidentiality Non-Disclosure Agreement as of the Effective Date.
